Proposed acquisition of Delivery Hero

On July 16, 2026, Uber Technologies, Inc. entered into a Business Combination Agreement with Delivery Hero SE under which a wholly-owned Uber subsidiary will make a voluntary public cash takeover offer for all outstanding Delivery Hero shares at €41.50 per share, implying an equity value of approximately $14.8 billion (or approximately $13.7 billion adjusted for Uber's existing stake). Delivery Hero's management and supervisory boards unanimously support the offer and intend to recommend it to shareholders, and Prosus has irrevocably committed to tender its roughly 17% stake, which together with Uber's existing economic exposure would bring Uber's total economic interest to approximately 53%. Delivery Hero separately agreed to sell its operations in 14 markets (generating roughly $11 billion of 2025 Gross Bookings) to SSW Partners for approximately $1.6 billion, conditioned on the Uber offer closing. The transaction remains subject to a minimum tender condition of 50% plus one share and to regulatory approvals, including competition and financial-services clearances; closing is expected in the second half of 2027. This is a signed, pending transaction, it has not closed. (8-K filed July 16, 2026, accession 0001552781-26-000382, Item 1.01 and Exhibits 2.1, 99.1, 99.2.)

To fund the offer, Uber entered into a Bridge Credit Agreement on July 16, 2026 providing senior unsecured bridge loan commitments of €14.2 billion. On August 6, 2026, Uber partially termed out that financing: it entered into a new Term Loan Credit Agreement (senior unsecured, in two tranches) that reduced the Bridge Credit Agreement commitments by €4.0 billion, amended the Bridge Credit Agreement's cross-default threshold from $300 million to $500 million, and separately replaced its existing revolving credit facility with a new $7.7 billion senior unsecured Revolving Credit Agreement maturing August 6, 2031 (about $324 million of letters of credit were transitioned to the new facility at closing, with no borrowings drawn). All three financing arrangements require the company to maintain a minimum interest-coverage ratio of 3.00 to 1.00. (8-K filed August 7, 2026, accession 0001552781-26-000414, Item 1.01/1.02/2.03 and Exhibits 10.1–10.3; bridge facility disclosed in the July 16, 2026 8-K, accession 0001552781-26-000382, Exhibit 10.1.)

Getir delivery portfolio acquisition (Türkiye)

On February 8, 2026, Uber agreed with Mubadala Investment Company to acquire Getir Perakende Lojistik A.Ş.'s delivery portfolio in Türkiye in phases. The initial phase is a 100% acquisition of Getir's food delivery business for $335 million in cash on a cash-free, debt-free basis; that business generated more than $1 billion of gross bookings in 2025, up more than 50% year-over-year on a constant-currency basis. Uber also agreed to invest $100 million for a 15% stake in Getir's grocery, retail and water delivery business, with the acquisition of the remainder of that portfolio expected to close within the next few years subject to operating and financial performance conditions. Uber completed the food delivery acquisition on July 1, 2026, acquiring 100% of Getir's food delivery business and a minority interest in its grocery delivery business for approximately $465 million in cash, as disclosed in the Form 10-Q for the quarter ended June 30, 2026 (accession 0001543151-26-000032, Note 15 - Subsequent Event). (8-K filed February 9, 2026, accession 0001552781-26-000043, Item 7.01 and Exhibit 99.1.)

How this page was built

This page was built from 16 of Uber Technologies, Inc.'s own filings with the SEC, read one at a time. Nothing on it is taken from news coverage, analyst commentary or another website. Their accession numbers are cited inline, so any statement here can be traced to the filing it came from and checked against sec.gov.

A single company files thousands of pages with the SEC in a year, and no two companies file them the same way, so the reading and the assembly here are done by AI rather than by rules that break on the differences. Every pass is then audited back against the filings it came from before the page is published, and anything the filings do not support is left out and named rather than filled in. AI can still make mistakes. That is why the accession numbers are printed: the filing is the authority, and this page is a route to it.
