Published

PNC Financial Services Group reported $6.88 billion of total revenue for Q2 FY2026, the quarter ended June 30, 2026, up 21.4% from a year earlier, and net income of $2.06 billion, up 25.1%. Diluted earnings came to $4.81 per share against $3.85 a year earlier, helped by a full quarter of the FirstBank business PNC acquired at the start of the year and by growth in net interest and fee income. FirstBank integration costs and one-off items were a small net drag on that rise, as a gain on PNC's participation in the Visa shares exchange program was substantially offset by a PNC Foundation contribution expense, a loss on repositioning available-for-sale investment securities into higher yielding instruments, and negative Visa derivative fair value adjustments. Net interest income of $4.11 billion was up 15.5%, with net interest margin at 3.0% against 2.8% a year earlier, while the common equity tier 1 ratio was 9.9%, down from 10.5%.

Notes

  • PNC is a U.S. commercial bank, so this record uses a bank template: net interest income, noninterest income, provision for credit losses and noninterest expense on the earnings side, and loans, deposits, securities, capital and book value per share on the balance-sheet side. Revenue/cost-of-revenue/capex line items would not describe this business, and PNC does not report capital expenditures or free cash flow as separate lines, so neither appears here.
  • All dollar figures are stated in actual dollars. The filings print their statements in millions; each figure was scaled from the units note shown above the table it was taken from. Annual periods come from PNC's 2025 Form 10-K (accession 0000713676-26-000020); quarterly, year-to-date and trailing-twelve-month figures come from the Q2 2026 Form 10-Q (accession 0001628280-26-053170).
  • The periods here are exactly the ones these two filings put on their face. The 10-K's income statement and cash flow statement show 2025, 2024 and 2023; its balance sheet shows only December 31, 2025 and December 31, 2024. FY2023 therefore carries an income statement and a cash flow statement but no balance sheet, apart from the December 31, 2023 total equity and share count printed on the face of the statement of changes in equity and the book value per share printed in the 10-K's selected financial data table.
  • The 10-Q's income statement prints the three months and the six months ended June 30 for 2026 and 2025, and its Table 1 also prints a separate column for the three months ended March 31, 2026. Q1 2026 was therefore read from that printed column, not derived by subtraction; because Table 1 is a summary, Q1 2026 carries the revenue, expense, earnings and per-share lines it prints and not the full interest-income detail.
  • The six-month columns are held in the year-to-date and prior-year-to-date blocks and the twelve-month view in the trailing-twelve-month block, so that every entry in the quarterly list is a discrete three-month period.
  • The trailing-twelve-month block covers July 1, 2025 through June 30, 2026 and is derived: full-year 2025 plus the six months ended June 30, 2026 less the six months ended June 30, 2025. Its earnings per share are the sum of the reported per-share amounts on the same basis and carry that rounding; ratios and weighted-average share counts are not additive across periods and are omitted.
  • The allowance for loan and lease losses is reported here as a positive balance in every period. PNC's consolidated balance sheet presents it in parentheses as a deduction from loans, while the balance-sheet highlights table in both filings prints the same amount unsigned; the loans figure in this record is the gross amount and net loans is shown separately.
  • In the noninterest income section, total other noninterest income is the filing's “Total other income” subtotal, and it already contains the gain on the Visa shares exchange program, securities gains (losses) and the residual “Other” component, each of which is also carried here as a separate field. Those three components sum to the subtotal and should not be added to it.
  • Common shares outstanding at June 30, 2026 (399,465,725) is the issued count of 557,291,838 less the 157,826,113 shares held in treasury, both printed in the captions of the 10-Q balance sheet's equity section; the 10-Q does not print an outstanding total directly. Dividing common shareholders' equity of $58.1 billion by that count reproduces the $145.52 book value per common share the filing reports. Year-end common share counts for 2025, 2024 and 2023 are taken from the Shares Outstanding column of the 10-K's statement of changes in equity, a table carrying the units note “In millions”, so those three counts are as printed, 390 million, 396 million and 398 million, rounded to the nearest million, while the June 30, 2026 count is an exact share count. Book value per common share for the annual periods should therefore be read from the book value per common share line printed in the filing rather than recomputed from those rounded counts.
  • Net interest margin is identified by PNC as a non-GAAP measure and is reported here as the company presents it. Tangible book value per common share is likewise PNC's non-GAAP measure and is presented in the 10-K only, so it appears on the annual periods and not the quarters.
  • Common equity tier 1 ratios are as reported by PNC. The 10-K notes that the December 31, 2024 ratio is calculated to reflect PNC's election to adopt the CECL optional five-year transition provisions.
  • PNC acquired FirstBank Holding Company on January 5, 2026 for $4.2 billion of cash and PNC common stock plus $0.1 billion of preferred consideration, adding $26.4 billion of assets, $16.0 billion of loans and $23.1 billion of deposits as of close. Results for the first and second quarters of 2026 include FirstBank from that date, and the June 30, 2026 balance sheet includes its balances, so the year-over-year comparisons in 2026 are not organic. Goodwill rose from $10.96 billion at December 31, 2025 to $13.32 billion at June 30, 2026.
  • Second-quarter 2026 earnings include a $448 million gain from PNC's participation in the Visa shares exchange program and a $139 million securities loss on repositioning the available-for-sale portfolio, both reported within noninterest income, together with $121 million of FirstBank integration expense and a $140 million pre-tax PNC Foundation contribution within noninterest expense.
  • No restatement was found. The 10-Q notes that certain prior-year amounts were reclassified to conform to the current presentation and that effective January 1, 2026 PNC redefined its loan classes, but the consolidated totals for 2025 and 2024 in the 10-K agree with the comparative columns in the 10-Q.
  • Figures marked as coming from the selected financial data tables (total investment securities, common shareholders' equity, the common equity tier 1 ratio, book value per share and the performance ratios) are PNC's own summary lines; where the same amount also appears on the face of a statement the two agree.

Uncertainties

  • No discrete three-month cash flow figures are reported for any quarter. PNC's 10-Q presents the statement of cash flows for the six months ended June 30 only, and the second-quarter 2026 earnings release and financial supplement contain no cash flow statement. Operating, investing and financing cash flows therefore appear only on the annual periods and on the six-month year-to-date blocks, and the quarterly entries carry no cash flow block at all.
  • Q1 2026 is reported from the summary column in the 10-Q's Table 1, which does not print total interest income, total interest expense, the noninterest income and expense components, weighted-average share counts, or any balance-sheet line other than book value per common share. Those fields are absent for that quarter rather than estimated.
  • Q2 2025 has no full balance sheet. The only June 30, 2025 balance-sheet data these filings print is the highlights column in the 10-Q's Table 2, so that quarter carries total assets, loans, the allowance, deposits, borrowed funds, securities, equity and the capital ratio, but no liabilities total or asset detail.
  • FY2023 carries no balance sheet beyond total equity, noncontrolling interests, the year-end share count and book value per share, because the 10-K's balance sheet presents only 2025 and 2024.
  • Earnings per share divided into net income attributable to common shareholders does not reproduce the weighted-average diluted share count exactly, because PNC applies the two-class method and allocates a small share of earnings to participating securities. The gap is under 1% in every period and both figures are as printed in the filings.
  • The trailing-twelve-month earnings per share of $18.16 diluted is a derived sum of reported per-share amounts, not a figure PNC publishes, and differs slightly from net income for the period divided by a weighted-average share count for the period.

How this page was built

This page was built from two of PNC Financial Services Group Inc.'s own filings with the SEC, read one at a time. Nothing on it is taken from a pre-tagged dataset, a data vendor or another website. The figures are on the company's own fiscal calendar and in actual dollars, as the filings report them. Where the filings do not support a figure, the record says so instead of reporting a zero; this period names six such gaps.

A single company files thousands of pages with the SEC in a year, and no two companies file them the same way, so the reading and the assembly here are done by AI rather than by rules that break on the differences. Every pass is then audited back against the filings it came from before the page is published, and anything the filings do not support is left out and named rather than filled in. AI can still make mistakes. That is why the accession numbers are printed: the filing is the authority, and this page is a route to it.
