Western Digital reported $12.92 billion in revenue for FY2026, the 53-week fiscal year ended July 3, 2026, up 35.7% from a year earlier as cloud customers bought more high-capacity hard drives at higher prices. Net income was $9.42 billion, up 398.9%, but most of that increase came from below the operating line, in a non-cash gain on the Sandisk stake Western Digital retained when it separated its flash business and had fully monetized by year end. Operating income, which covers the hard drive business alone, was $4.45 billion, up 90.8%, and diluted earnings per share, which include the Sandisk gain, were $24.28.

DerivationEvery income-statement and cash-flow figure for this quarter is the full fiscal 2026 column of the FY2026 Form 10-K (accession 0001628280-26-057139) less the nine-month column of the Q3 FY2026 Form 10-Q (accession 0001628280-26-029054). The balance sheet is the July 3, 2026 column of the 10-K. Per-share amounts and weighted-average share counts cannot be obtained by subtraction and are taken from the fourth-quarter results release furnished on Form 8-K on August 5, 2026 (accession 0001628280-26-053305).

Notes

  • Business type: a single-segment maker of hard disk drives and storage platforms. The standard industrial/technology-hardware template is used: revenue, cost of revenue, gross profit, operating income and per-share earnings; cash, debt, assets and equity; operating cash flow, capital expenditure and free cash flow. Western Digital reports one reportable segment, HDD, so no segment table is carried; fiscal-year revenue is instead split by end market (cloud, client, consumer) in `revenue_by_end_market`.
  • Western Digital completed the separation of its Flash business, Sandisk Corporation, on February 21, 2025. In the consolidated statements of operations, Sandisk is presented as discontinued operations for every period before that date. Revenue, cost of revenue, gross profit, operating income and income tax in this record are therefore continuing-operations (hard-disk-drive) figures in every period shown, fiscal 2024 and fiscal 2025 included; `net_income_from_discontinued_operations_net_of_taxes` carries the Sandisk result separately and `net_income` is the total of the two.
  • The consolidated statements of cash flows are presented on a total-company basis and include Sandisk's cash flows up to the February 21, 2025 separation date. The fiscal 2024, fiscal 2025 and third-quarter fiscal 2025 cash-flow figures are consequently on a wider basis than the continuing-operations income-statement lines for the same periods. Fiscal 2026 and its quarters contain no Sandisk cash flows.
  • Fiscal 2026 was a 53-week year ended July 3, 2026. Fiscal 2025 (ended June 27, 2025) and fiscal 2024 (ended June 28, 2024) were 52-week years. The extra week falls inside the first nine months of fiscal 2026, so the fourth quarter of fiscal 2026 is a normal 13-week period.
  • The quarterly series here is deliberately partial. It holds the two quarters the Q3 FY2026 Form 10-Q (accession 0001628280-26-029054) prints on its face - the three months ended April 3, 2026 and the three months ended March 28, 2025 - plus a fourth quarter of fiscal 2026 obtained by subtracting that 10-Q's nine-month columns from the FY2026 Form 10-K's full-year columns. The first and second quarters of fiscal 2026 are not shown: they appear only in results releases furnished on Form 8-K, not on the face of either periodic report, so they fall outside what these two filings publish.
  • Each differenced fourth-quarter fiscal 2026 figure was checked against the corresponding column of the fourth-quarter results release furnished on Form 8-K on August 5, 2026 (accession 0001628280-26-053305) and agrees exactly, line for line: revenue $3,747 million, gross profit $2,028 million, operating income $1,563 million, net income $3,195 million, operating cash flow $1,389 million and free cash flow $1,281 million.
  • The 10-Q's condensed consolidated statement of cash flows presents nine-month columns only. The discrete three-month operating cash flow, capital expenditure, depreciation, stock-based compensation, investing and financing figures for the third quarters of fiscal 2026 and fiscal 2025 therefore come from the third-quarter results release furnished on Form 8-K on April 30, 2026 (accession 0001628280-26-028878); each of those quarters carries that accession in `cash_flow_source_accession`.
  • `capex` is purchases of property, plant and equipment net of proceeds from sales of property, plant and equipment, and `free_cash_flow` is operating cash flow less that figure, on the same basis in every period. Western Digital's own definition of free cash flow also adds back pre-separation Flash Ventures activity, which produces $1,432 million for fiscal 2025 (against $1,284 million here) and $436 million for the third quarter of fiscal 2025 (against $380 million here). Where there was no such activity - fiscal 2026 and its third and fourth quarters, and the nine months ended April 3, 2026 - the two definitions agree, at $3,511 million, $978 million, $1,281 million and $2,230 million respectively.
  • `net_income_attributable_to_common_shareholders` is the numerator diluted earnings per share is struck on: net income less dividends allocated to preferred shareholders and income attributable to participating securities, plus the re-allocation of participating securities considered potentially dilutive. Western Digital's convertible preferred stock participated in common dividends until it converted in February 2026, so this figure sits below net income in every period before then. `net_income_attributable_to_common_shareholders_basic` is the corresponding basic numerator.
  • `temporary_equity` is the convertible preferred stock the balance sheet presents between total liabilities and shareholders' equity. It was $229 million at June 27, 2025 and nil at April 3, 2026 and July 3, 2026 following the February 2026 conversion, which is why total assets exceed liabilities plus equity by $229 million at the fiscal 2025 year-end and match exactly at the two later dates.
  • `total_debt` is the current portion of long-term debt plus long-term debt as carried on the balance sheet, net of unamortized issuance costs: $1,052 million at July 3, 2026, $1,581 million at April 3, 2026 and $4,711 million at June 27, 2025. The 10-K's debt note shows principal of $1,060 million and $4,749 million at the two year-ends, before $8 million and $38 million of issuance costs. All of the July 3, 2026 balance is classified current because the remaining instruments - $710 million of 3.00% convertible notes due 2028 and $350 million drawn on the revolving credit facility maturing January 2027 - are within a year or putable.
  • The FY2026 10-K prints three years of income statement and cash flow but only two balance-sheet dates, so fiscal 2024 carries an income statement and a cash flow statement and no balance sheet.
  • No share-split adjustment has been applied. A third-party market-data feed reports a 1.323-for-1 event dated February 24, 2025, but Western Digital's own filings tag no split, and the weighted-average share counts the 10-K reports across the three years - 326 million, 347 million and 345 million basic - show no step change of that size. The February 2025 date is that of the Sandisk separation, which distributed Sandisk shares to holders and did not change the number of Western Digital shares outstanding.
  • Western Digital reports in US dollars and is a domestic filer, so no currency translation and no depositary-share conversion apply.
  • Because the most recent period in this record is a completed fiscal year, a trailing-twelve-month view would be identical to fiscal 2026 and is not carried separately.
  • `year_to_date` and `prior_year_to_date` hold the nine-month columns the Q3 FY2026 Form 10-Q prints beside the quarters. They are cumulative periods, not quarters, and are kept out of the quarterly list for that reason.

Uncertainties

  • The fourth quarter of fiscal 2026 is a derived period. Its income-statement and cash-flow figures are the 10-K's audited full-year columns less the 10-Q's unaudited nine-month columns; no filing presents that quarter on the face of a periodic report. The results release furnished on Form 8-K on August 5, 2026 confirms every one of those figures, but that release is furnished rather than filed and is not audited.
  • The fourth-quarter fiscal 2026 basic and diluted earnings per share ($9.13 and $8.21), the basic and diluted share counts (350 million and 389 million) and the income attributable to common shareholders ($3,195 million) are taken from that furnished release, because per-share amounts and weighted-average share counts are not additive and cannot be obtained by subtraction.
  • The fourth-quarter fiscal 2026 income attributable to common shareholders of $3,195 million is not the full-year figure less the nine-month figure ($9,298 million less $6,116 million, or $3,182 million). The two differ because the two-class allocation to participating securities is recomputed for the full year rather than summed from the interim periods: the 10-K's Note 14 allocates $138 million against fiscal 2026 income, less a $12 million re-allocation of participating securities considered potentially dilutive, or $126 million net, while the 10-Q's Note 13 allocates $123 million less a $10 million re-allocation, or $113 million net, for the nine months - a $13 million difference in the net allocation. The fourth-quarter results release itself shows nil allocated in the quarter. The reported $3,195 million is the correct quarter figure and equals fourth-quarter net income.
  • Third-quarter fiscal 2025 cash-flow figures (operating cash flow $508 million, capital expenditure $128 million, and the investing and financing totals) are on a total-company basis and include Sandisk up to the February 21, 2025 separation date, so they are not comparable with the continuing-operations income statement for the same quarter. The same caveat applies to the fiscal 2024 and fiscal 2025 annual cash flows and to the nine months ended March 28, 2025.
  • No balance sheet is reported for fiscal 2024: the FY2026 10-K's balance sheet prints only July 3, 2026 and June 27, 2025.
  • No balance sheet is reported for the third quarter of fiscal 2025: the Q3 FY2026 10-Q's balance sheet prints only April 3, 2026 and June 27, 2025.
  • Free cash flow here is operating cash flow less capital expenditure in every period, which differs from Western Digital's own published free cash flow for fiscal 2025 ($1,432 million) and the third quarter of fiscal 2025 ($436 million) because the company's definition also adds back pre-separation Flash Ventures activity. Both figures are stated in the notes above.

FAQ · Western Digital financial statements

How much revenue did Western Digital report in FY2026?

Western Digital reported $12.92 billion in revenue for FY2026, the fiscal year ended July 3, 2026. That is up 35.7% from $9.52 billion a year earlier, and cloud customers accounted for $11.49 billion of it, up 37.8%.

How much did Western Digital earn in FY2026?

Western Digital's net income for FY2026, the fiscal year ended July 3, 2026, was $9.42 billion, up 398.9% from $1.89 billion a year earlier. Operating income, which leaves out the gains on the retained Sandisk stake, was $4.45 billion.

Why did Western Digital's net income rise so much in FY2026?

The jump in Western Digital's net income to $9.42 billion in FY2026 came mostly from outside the hard drive business: a non-cash gain, recognized below the operating line, on the Sandisk stake Western Digital retained when it separated its flash business, and which was tax free as a consequence of that separation. Operating income was $4.45 billion, up 90.8% from $2.33 billion, and Western Digital held no Sandisk shares at the end of FY2026, so the gain does not recur.

What was Western Digital's earnings per share in FY2026?

Western Digital reported diluted earnings per share of $24.28 for FY2026, the fiscal year ended July 3, 2026, up 374.2% from $5.12 a year earlier. That figure carries the non-cash gain on the retained Sandisk stake, so it is not a measure of hard drive earnings alone.

How this page was built

This page was built from four of Western Digital Corporation's own filings with the SEC, read one at a time. Nothing on it is taken from a pre-tagged dataset, a data vendor or another website. The figures are on the company's own fiscal calendar and in actual dollars, as the filings report them. Where the filings do not support a figure, the record says so instead of reporting a zero; this period names seven such gaps.

A single company files thousands of pages with the SEC in a year, and no two companies file them the same way, so the reading and the assembly here are done by AI rather than by rules that break on the differences. Every pass is then audited back against the filings it came from before the page is published, and anything the filings do not support is left out and named rather than filled in. AI can still make mistakes. That is why the accession numbers are printed: the filing is the authority, and this page is a route to it.
