Business

Tesla frames itself as a company "focused on bringing artificial intelligence into the real world," through Full Self-Driving ("FSD") (Supervised), the Robotaxi ride-hailing service, and AI robots ("Bots," including Optimus). The existing business, designing, manufacturing, selling and leasing fully electric vehicles and energy generation and storage systems, is described as the platform used to reach that objective. Products are sold directly to customers rather than through franchised dealers, supported by a company-owned retail, service and charging footprint.

Two reportable segments:

Vehicle lineup. Five consumer vehicles, Model 3, Model Y, Model S, Model X and Cybertruck, plus the Tesla Semi commercial truck (early production and deliveries began 2022). Cybercab is the purpose-built autonomous vehicle intended to eventually carry the Robotaxi business, which today runs on Model Y vehicles. The Robotaxi service launched in June 2025.

Energy products. Powerwall (residential/small commercial storage, sold and leased directly and through channel partners) and Megapack (commercial, industrial and utility scale, groupable into GWh-plus installations). Tesla explicitly ties Megapack demand to AI: "As AI infrastructure drives rapid load growth, Megapack helps to, among other things, increase utilization of existing generation and transmission capacity." Software layers, Autobidder for Megapack, Powerhub for distributed resources, remotely control and dispatch the fleet. On the generation side, Tesla manufactures solar panels and Solar Roof; a new residential retrofit solar panel entered manufacturing in 2025 with first customer deliveries in January 2026.

Technology and vertical integration. Vehicle control and infotainment software is developed almost entirely in-house and updated over the air. Tesla designs its own powertrains (dual- and tri-motor configurations), maintains in-house battery cell R&D, and has developed a proprietary lithium-ion cell. It integrates batteries directly into vehicle body structures. Supply chain de-risking includes an in-house lithium refinery in Texas that began operations in January 2026.

AI infrastructure. In 2025 Tesla expanded Cortex, its training cluster at Gigafactory Texas, announced a collaboration with Samsung to manufacture advanced semiconductors for AI inference and training in the U.S., and began building Cortex 2 at Gigafactory Texas. The 10-K states Tesla will ramp six new production lines across vehicle, Bots, energy storage and battery manufacturing in 2026.

Manufacturing footprint. U.S. facilities in California, New York, Texas and Nevada; international manufacturing in China and Germany. Localization is framed as a way to reduce transport and manufacturing cost and limit unfavorable tariff exposure.

Other revenue channels. Used vehicle remarketing (supports trade-ins on new sales); the Supercharger network, now open to non-Tesla vehicles as major automakers adopt the North American Charging Standard (NACS), including a Supercharger for Business program where third parties buy, install and price the chargers while Tesla runs software and support; in-app paid upgrades and subscriptions; vehicle leasing and loan financing (sometimes with resale value or buyback guarantees); and Tesla Insurance, available in 13 states. The first Tesla Diner opened in California in 2025. A new residential energy lease product launched in Q4 2025.

Government programs. The Inflation Reduction Act incentives were "substantially curtailed" by the One Big Beautiful Bill Act (OBBBA), enacted July 4, 2025, which repealed individual consumer tax credits for electric vehicles and residential energy property and imposed stricter eligibility, accelerated phase-outs and terminations. Residential energy storage and solar credits under IRC §§48/48E/25D expired December 31, 2025; commercial storage credits phase out in 2034 or later, and commercial solar credits expire for facilities placed in service after December 31, 2027, subject to an exception for projects beginning construction on or before July 4, 2026. Regulatory credit programs tied to Tesla's products have been restricted by governmental action including the OBBBA.

Competition. Tesla describes the worldwide automotive market as highly competitive and expects it to intensify, with established and new manufacturers entering EVs. It also now competes in AI and robotics, and Robotaxi competes with traditional ride-hailing and taxi services. In energy storage, competition is on price, energy density, efficiency, optimization and performance; in energy generation, the primary competitors are traditional local utilities.


Risk factors

Execution and ramp risk. Tesla may experience delays developing, launching and ramping products, or fail to control manufacturing costs. It specifically ties its future to driver-assistance/autonomy and to increasing mass-market vehicle production including Cybercab, and notes that developing AI services introduces additional challenges: "the availability and cost of energy, processing power limitations and the substantial power requirements for our data centers." Bots (Optimus) may likewise slip.

Supplier concentration. Products contain thousands of parts from hundreds of suppliers, including single-source direct suppliers. U.S. trade policy changes in 2025, heightened import tariffs and retaliatory measures, have already impacted supply chain costs and may affect component availability. Rapid AI advancement "demands exponentially greater compute, memory, energy and thermal resources, which may prove insufficient in scale or affordability."

New factory ramps. Construction timelines, permitting, hiring and the ramp of proprietary cells and packs at new factories all carry risk, and delays could in turn constrain Robotaxi, which depends on vehicle production and deployment.

Sales, delivery, service and charging capacity. Tesla has no independent dealer network and must deliver every vehicle itself. Servicing capacity and Supercharger buildout must keep pace with the fleet, and with Robotaxi and Semi.

Battery cells. Tesla remains dependent on outside cell suppliers, Panasonic and CATL are named, with only a very limited number fully qualified and limited flexibility to switch. Its own cell manufacturing has required and may continue to require significant investment with no assurance of hitting targets. Raw material prices (lithium, nickel and other metals) fluctuate and supply may be unstable.

Demand for EVs and autonomy adoption. EVs remain a small percentage of overall vehicle sales; demand is sensitive to perceptions of range, charging access, competition, oil and energy prices, incentives, rising interest rates and cyclicality. Robotaxi's success depends on consumer acceptance of autonomous ride-hailing amid growing competition.

Bots are unproven. Optimus is in "a nascent industry that has yet to develop commercially." Tesla has not commercialized Bots and cannot predict demand.

Product defects, recalls, warranty and product liability. Tesla notes a limited frame of reference for long-term quality and durability of its products. Recalls have arisen from hardware and software safety or non-compliance investigations. Vehicles have been and will be involved in collisions resulting in death or personal injury; such collisions draw significant public attention given NHTSA's Standing General Order on crashes involving driver-assistance systems. Critically: "In most jurisdictions, we generally self-insure against the risk of product liability claims for vehicle exposure, meaning that any product liability claims will likely have to be paid from company funds and not by insurance." More broadly, "we do not maintain as much insurance coverage as many other companies do, and in some cases, we do not maintain any at all." Warranty reserves rest on management estimates that may prove inadequate.

Brand and credibility. Tesla must maintain confidence among customers, suppliers, analysts, investors and ratings agencies. It notes that commentary and criticism, "which may be exaggerated or unfounded, such as speculation regarding the sufficiency or stability of our management team, and has incited protests, some escalating to violence targeting our operations, products and personnel."

Financing programs. Residual value projections on directly leased vehicles, residual value guarantees given to customers and partners, and customer credit risk on the finance book can all move against Tesla.

Key-person dependence. "We are highly dependent on the services of Elon Musk, Technoking of Tesla and our Chief Executive Officer... he does not devote his full time and attention to Tesla," holding management positions at SpaceX, xAI, Neuralink and The Boring Company, and involved in other ventures.

Cybersecurity and product manipulation. Tesla's systems and those of its service providers are exposed to cyberattacks; its service providers, including its workforce management software provider, have been subject to ransomware and other security incidents. Vehicles and energy products have built-in connectivity for remote updates, and unauthorized control or manipulation of those systems would damage confidence.

Labor. Union organizing campaigns and unfair labor practice charges have occurred and may recur; Tesla is also dependent on suppliers and freight companies with unionized workforces.

Capital structure and financing. Debt agreements contain covenants (including liquidity maintenance) that could restrict operations, and default could accelerate repayment. Tesla's plans, infrastructure, AI, fleet growth, Bots, are capital-intensive, and additional funds may not be available on favorable terms. As of December 31, 2025, outstanding indebtedness was $8.18 billion. Equipment may become obsolete early, accelerating depreciation. FX exposure is unhedged as a matter of policy.

Intellectual property. Third-party infringement claims, and limited effective protection for Tesla's brands, technology and proprietary information in certain countries.

Events outside its control. Fremont Factory and Gigafactory Nevada sit in seismically active regions; Gigafactory Shanghai is in a flood-prone area; Gigafactory Texas has experienced severe winter storms.

Government incentives and regulation. Incentives supporting EVs may be reduced, eliminated or exhausted, and recent governmental action has repealed or restricted consumer, manufacturing and charging infrastructure tax credits and certain regulatory credit programs. Compliance with the OBBBA also "requires rigorous traceability of raw materials"; failure to document the origin of critical minerals could cost products their credit eligibility. Net metering benefits have been reduced or eliminated in several jurisdictions. Regulation of driver-assistance and autonomous systems is changing rapidly across jurisdictions, raising the likelihood of "a patchwork of complex or conflicting regulations" that may delay, restrict or prohibit certain functionality or slow Robotaxi expansion. Privacy, data protection and AI laws (GDPR, CCPA, and a growing patchwork of U.S. state laws, plus Asia-Pacific regimes) create compliance cost and penalty exposure, including vehicle-manufacturer-specific cybersecurity, data privacy and data localization obligations.

Government investigations. Tesla is cooperating with certain government investigations. To its knowledge no agency in an ongoing investigation has concluded that wrongdoing occurred, but Tesla cannot predict outcomes and could face liability, penalties and restrictive sanctions if the SEC, DOJ or another agency pursued legal action.

Direct sales model. Some U.S. states interpret their laws to limit direct-to-consumer manufacturer sales or dealer licensing; dealer associations continue to litigate and lobby against Tesla's model.

Stock-specific risks. The trading price has been highly volatile, over the last 52 weeks an intraday high of $498.83 and a low of $214.25, and a large proportion of the stock is traded by short sellers. Quarterly results may vary substantially and guidance has been inaccurate in the past, particularly on the timing of new product manufacturing ramps. A distinctive risk added around the 2025 CEO Performance Award: the technologies and product goals it incentivizes may be "misaligned with current or future consumer demand," and "the product goals may not be indicative of the types of products or services that would, in the long run, generate financial returns necessary to justify the significant market capitalization goals." Separately, if Elon Musk were forced to sell shares, to satisfy loans secured by pledged stock, other commitments, or tax obligations relating to the 2018 CEO Performance Award, the stock price could decline. Anti-takeover provisions in the governing documents, Texas law (including §21.606 of the Texas Business Organizations Code) and change-of-control acceleration in certain debt facilities could impair a takeover.


MD&A, fiscal year 2025

The year in totals. Total revenues of $94.83 billion, a decrease of $2.86 billion from 2024. Net income attributable to common stockholders of $3.79 billion, down $3.30 billion. Tesla produced approximately 1.66 million consumer vehicles and delivered approximately 1.64 million, and deployed 46.7 GWh of energy storage.

Cash flow from operations was $14.75 billion versus $14.92 billion in 2024, a $176 million decline. Capital expenditures fell to $8.53 billion from $11.34 billion. Cash, cash equivalents and investments ended 2025 at $44.06 billion, up $7.50 billion.

Segment drivers.

Margins. Total automotive gross margin declined from 18.4% to 17.8%, mainly on lower regulatory credit revenue; the combined automotive and services and other segment margin fell from 16.9% to 16.2%. Cost of automotive sales fell 9% on lower deliveries and lower average cost per unit (sales mix, lower material costs), partly offset by weaker fixed-cost absorption and higher tariffs. Energy generation and storage gross margin improved sharply, from 26.2% to 29.8%, helped by lower raw material costs and lower Megapack manufacturing cost as Shanghai Megafactory ramped, partly offset by higher tariffs.

Operating expenses. R&D rose $1.87 billion (41%) on AI and other programs plus a $500 million increase in stock-based compensation, taking R&D from 5% to 7% of revenue. SG&A rose $684 million (13%): a $354 million increase in operating expenses including legal charges, $256 million in employee and labor costs, and $235 million in stock-based compensation, partly offset by lower marketing and facilities spend.

Restructuring. In Q3 2025 Tesla initiated actions to reduce cost and improve efficiency "through convergence of AI chip design efforts," recognizing $390 million of expense in the automotive segment in the second half of 2025 for supercomputer assets, contract terminations and employee terminations. (For comparison, the Q2 2024 restructuring produced $583 million of employee termination expense.)

Below the line. Interest income rose $111 million (7%) to $1.68 billion. Other income (expense), net swung unfavorably by $1.11 billion to a $419 million expense, driven by mark-to-market on bitcoin digital assets and FX on intercompany balances. The tax provision fell $414 million to $1.42 billion, but the effective rate rose from 20% to 27% on jurisdictional mix, lower foreign income deductions resulting from lower taxable income attributable to the OBBBA, and remeasurement of deferred tax assets related to net controlled foreign corporation tested income under the OBBBA.

Management's stated outlook for 2026 (as of the 10-K). Capital expenditures "in excess of $20 billion in 2026," driven by AI initiatives including compute infrastructure and data centers, manufacturing and R&D line expansion, and growth in the fleet of company-operated AI-enabled assets plus retail, service and charging footprint. Management flagged that "as a result of rapidly evolving trade and fiscal policy, uncertainty in the automotive and energy markets continues," and that "the current tariff regime will have a relatively larger impact on our energy generation and storage business compared to our automotive business." It also warned that OBBBA provisions removing EV tax credits may reduce consumer demand for electric vehicles generally, and that import tariffs and OBBBA provisions could significantly increase battery cell expense.

Liquidity at year-end 2025. $16.51 billion in cash and cash equivalents and $27.55 billion in short-term investments; $4.37 billion equivalent held in foreign currencies (primarily Chinese yuan and euro); $6.43 billion of unused committed credit. Total debt of $8.18 billion ($1.58 billion current) and total minimum lease payments of $7.96 billion ($1.32 billion due within 12 months). Financing cash flows fell $2.71 billion to $1.14 billion, mainly on a $3.05 billion increase in debt repayments; the year also included $101 million of proceeds received from directors in a shareholder settlement, net of related legal fees.


Current quarter, Q2 2026 (quarter ended June 30, 2026)

The quarter reversed 2025's revenue decline. Total revenues of $28.24 billion for the quarter and $50.62 billion for the six months, up $5.74 billion and $8.79 billion respectively year over year. But net income attributable to common stockholders was $1.11 billion for the quarter, down $58 million year over year, and $1.59 billion for the six months, up only $10 million. Management is explicit about why: "We are also investing heavily in research and development to accelerate our AI, software and fleet-based profits for further revenue growth, which will negatively impact our profitability during this phase."

Volumes. Approximately 860 thousand consumer vehicles produced and 838 thousand delivered through the second quarter of 2026; 22.3 GWh of energy storage deployed through the second quarter.

Revenue mix.

Segment revenue for the quarter: automotive $25,097 million (gross profit $4,111 million) and energy generation and storage $3,139 million (gross profit $640 million). U.S. revenue was $13,208 million of the quarter's total.

Margins diverged from 2025's pattern. Total automotive gross margin edged down from 17.2% to 16.9% for the quarter (though up from 16.8% to 18.7% for the six months); the combined automotive and services and other segment margin rose from 15.4% to 16.4% for the quarter. Energy generation and storage gross margin fell hard, from 30.3% to 20.4%, on mix and unfavorable warranty adjustments alongside a higher average cost per MWh. Six-month automotive cost per unit was roughly flat, with unfavorable mix and FX offset by favorable warranty and tariff impacts.

Operating expense growth outran revenue. R&D rose $782 million (49%) for the quarter and $1.32 billion (44%) for the six months, including stock-based compensation increases of $189 million and $334 million; R&D moved from 7% to 8% of revenue for the quarter and 7% to 9% for the six months. SG&A rose $616 million (45%) for the quarter and $1.20 billion (46%) for the six months, driven mainly by stock-based compensation related to the 2025 CEO Performance Award (+$283 million for the quarter, +$577 million for the six months), plus employee and labor costs, litigation-related expenses and facilities.

Tax. The effective rate fell from 23% to 15% for the quarter and from 25% to 22% for the six months. The main driver was a one-time item: following enactment of California Senate Bill 122, Tesla concluded its California deferred tax assets (other than R&D credits) are more likely than not realizable and released the related valuation allowance, producing a $274 million income tax benefit (net of an immaterial pillar two accrual). Partly offsetting this was the non-deductibility of stock-based compensation on the 2025 CEO Performance Award.

Capital spending guidance was raised. Expected 2026 capital expenditures moved from "in excess of $20 billion" in the 10-K to "in excess of $25 billion" in the 10-Q, driven by AI initiatives including compute infrastructure and data centers, manufacturing and R&D line expansion, and fleet/retail/service/charging growth. Six-month capex was $8.28 billion versus $3.89 billion a year earlier, a $4.40 billion increase. Property, plant and equipment, net rose to $47.26 billion from $40.64 billion at year-end, with the "AI infrastructure" line alone growing from $6,816 million to $10,823 million.

Cash generation improved. Operating cash flow of $8.63 billion for the six months versus $4.70 billion a year earlier (+$3.94 billion), mostly favorable working capital changes of $3.01 billion plus $933 million from higher net income excluding non-cash items. Financing swung to a $1.21 billion inflow from a $554 million outflow, principally a $1.63 billion increase in debt issuance proceeds.

Balance sheet at June 30, 2026. $15.22 billion cash and cash equivalents plus $28.31 billion short-term investments ($43.52 billion combined, down $535 million from year-end). $3.80 billion equivalent held in foreign currencies (primarily euros and Chinese yuan). $5.00 billion of unused committed credit. Total indebtedness of $9.08 billion ($1.35 billion current), up from $8.18 billion, essentially all non-recourse: Automotive Asset-backed Notes $2,366 million, China Working Capital Facility $5,888 million, Energy Asset-backed Notes $708 million, Cash Equity Debt $116 million. Recourse debt is de minimis, $2 million outside the undrawn $5.00 billion revolver. Tesla was in material compliance with all financial debt covenants. Inventory rose to $13.75 billion from $12.39 billion, with $100 million of write-downs in the quarter ($177 million for the six months).

New financings. In Q1 2026 Tesla entered an uncommitted revolving Loan and Security Agreement (the "Warehouse Agreement") with a syndicate of banks allowing borrowings up to $1.50 billion secured by financing receivables and/or beneficial interests in leased vehicles; the draw period expires March 2027, maturity is the earlier of the underlying lease/loan terms or March 2034, and pricing is SOFR plus 0.65%–1.00%. No borrowings were outstanding at June 30, 2026. In Q2 2026 Tesla transferred financing receivables into a wholly-owned, consolidated special purpose entity and issued $348 million of Energy Asset-backed Notes, netting $344 million.

Acquisition. In Q2 2026 Tesla acquired an AI hardware company in an asset acquisition for $1.95 billion in Tesla common stock and equity awards, of which $1.73 billion is subject to service conditions and/or performance milestones dependent on successful deployment of the acquired technology, and $222 million was allocated to a patent and related developed technology intangible asset. No stock-based compensation expense was recognized on the performance-based awards in the quarter because the performance conditions were judged improbable. The 10-Q does not name the acquired company.

SpaceX equity investment. In March 2026, after receiving regulatory approvals, Tesla invested $2.00 billion in SpaceX common stock, described in the filing as "formerly a preferred share investment in xAI", for an ownership interest of less than 1%. Because Tesla's CEO is also CEO of SpaceX, Tesla is presumed under ASC 323 to have significant influence, but it elected the fair value option under ASC 825. The position was carried at $3,007 million at June 30, 2026, producing a $1.00 billion net gain in the quarter recorded in Other income, net. The valuation is Level 2 and reflects a $238 million discount for lack of marketability from regulatory restrictions expiring September 2026; Tesla is also subject to customary sales restrictions in connection with the SpaceX initial public offering that expire in December 2026. Separately, Tesla recognized $318 million of revenue (quarter) and $405 million (six months) from SpaceX purchases of Megapack, at $242 million and $307 million of cost of revenues respectively, related-party transactions were immaterial in the prior-year periods.

Digital assets. Bitcoin holdings of 11,509 units at an acquisition cost of $386 million were carried at $674 million at June 30, 2026, down from $1,008 million at December 31, 2025. Other income, net improved by $270 million for the quarter but worsened by $146 million for the six months, reflecting the SpaceX gain, bitcoin marks and FX on intercompany balances.

CEO compensation developments. After the Delaware Supreme Court reversed the Court of Chancery's rescission of the 2018 CEO Performance Award, and the Chancery Court entered a final implementing order on March 18, 2026, the Board on April 21, 2026 determined this constituted a "Tornetta Decision Event," causing immediate forfeiture of the 96 million shares under the 2025 CEO Interim Award granted August 3, 2025 (no expense had been recognized on it). The same day the Board approved an Implementation Agreement under which the CEO exercised approximately 304.0 million of the 2018 award's options during the quarter, net-settling the exercise price with approximately 17.5 million shares. The resulting Restricted Shares carry a service condition through January 19, 2028 and a five-year post-vest holding period. Tesla determined no incremental stock-based compensation expense arises. Separately, the 2025 CEO Performance Award, approximately 423.7 million performance-based restricted shares granted September 3, 2025 and approved by shareholders November 6, 2025, remains outstanding across 12 tranches of 35,311,992 shares each, requiring paired market capitalization milestones from $2.0 trillion to $8.5 trillion and operational milestones including 20 million cumulative vehicles delivered, 10 million active FSD subscriptions, 1 million bots delivered, 1 million Robotaxis in commercial operation, and Adjusted EBITDA thresholds ranging from $50 billion to $400 billion. No tranche had been achieved. Unearned shares vote proportionately with all other shares; earned shares are directed by the CEO.

Operational progress cited by management. Cybercab production began in the first half of 2026, alongside ramps at new battery and material factories including cathode material and lithium refining in Texas. Tesla is "expanding our scope of manufacturing to include semiconductor and solar fabrication" and continues to expand Cortex at Gigafactory Texas. Public Megachargers have begun deploying in preparation for Tesla Semi production. On energy, the Shanghai and Lathrop Megafactories continue to ramp and a new Megafactory near Houston is under construction. Management repeats that Megapack deployments "can vary meaningfully quarter to quarter depending on the timing of specific project milestones and logistics."

Tariff litigation could produce a refund. In February 2026 the U.S. Supreme Court invalidated certain tariffs previously imposed under the International Emergency Economic Powers Act (IEEPA). Tesla says it may be eligible for a refund of tariffs previously paid on imported goods but will not recognize a receivable until amounts are realized or realizable, and notes it may in turn owe refunds to certain energy storage customers where a contractual obligation exists.

Legal matters. In Benavides v. Tesla, an August 1, 2025 Florida federal jury awarded $129 million in compensatory damages (Tesla 33% at fault, driver 67%) plus $200 million in punitive damages over Autopilot use in a 2019 fatal accident; the court denied Tesla's post-trial motions on February 19, 2026, and Tesla has recorded "an immaterial accrual" while appealing. A consolidated California consumer class action over driver-assistance claims is stayed pending Ninth Circuit review of the class certification order, with oral argument set August 31, 2026. A securities class action filed August 4, 2025 in the Western District of Texas against Tesla, Elon Musk and certain executives alleges misrepresentation regarding Autopilot, FSD (Supervised) and Robotaxi for purchasers between April 19, 2023 and June 22, 2025; Tesla moved to dismiss the amended complaint on April 20, 2026. A further proposed consumer class action over driver-assistance claims was filed June 4, 2026 in the Northern District of California. The Delaware derivative actions concerning Musk, X Corp. and xAI were dismissed on April 13, 2026, with plaintiffs appealing to the Delaware Supreme Court in May 2026. The California Civil Rights Department discrimination case has a first trial phase set for September 21, 2026, and the parallel EEOC case is in discovery with no trial date. Tesla continues to receive information requests and subpoenas from NHTSA, NTSB, the SEC, DOJ and other agencies covering vehicle functionality, incidents, Autopilot, FSD Capability and Robotaxi, compliance, finance and data privacy.


Subsequent events
