PeriodQ3 FY2026
Published
Synopsys reported $2.48 billion in revenue for Q3 FY2026, the quarter ended July 31, 2026, up 42.4% from a year earlier, though most of that increase came from carrying a full quarter of the acquired Ansys simulation software business against a partial one in the year-ago quarter. Net income of $545.8 million, or $2.84 per diluted share, was up sharply from a year earlier, but most of that increase came from a one-time pre-tax gain on the sale of the Processor IP business to GlobalFoundries, while operating income of $357.49 million stayed a modest share of revenue under the intangible asset amortization the Ansys purchase accounting added to costs. Design IP segment revenue of $473.85 million was up 10.8%, returning the company's weaker segment to year-over-year growth. Total revenue came in above the high end of the company's own guidance for the quarter, and Synopsys raised its full-year fiscal 2026 targets.

Notes
- All figures are stated in actual U.S. dollars. Synopsys prints its statements in thousands; every figure here has been multiplied out from the printed thousands. Share counts are likewise stated in actual shares, from columns the filings print in thousands.
- Sources: the FY2025 Form 10-K for the fiscal year ended October 31, 2025 (accession 0000883241-25-000028, filed December 22, 2025) for the three fiscal years, and the Form 10-Q for the quarter ended July 31, 2026 (accession 0000883241-26-000025, filed August 26, 2026) for the quarterly and nine-month figures.
- Fiscal calendar. Synopsys changed its fiscal year end, effective with fiscal 2025, from the Saturday nearest October 31 to October 31 itself. Fiscal 2025 ran November 3, 2024 to October 31, 2025 (363 days); fiscal 2024 was a 53-week year ended November 2, 2024 (371 days); fiscal 2023 was a 52-week year ended October 28, 2023 (364 days). The income statement heads all three columns 'Year Ended October 31'; the period start and end dates recorded here are the actual ones the filing describes in its basis-of-presentation note. Fiscal quarters now end January 31, April 30, July 31 and October 31.
- Ansys acquisition. Synopsys completed its acquisition of ANSYS, Inc. on July 17, 2025 for total consideration of $34.9 billion, and consolidates Ansys only from that date. Fiscal 2025 therefore contains roughly three and a half months of Ansys, fiscal 2024 and 2023 contain none, and the quarter ended July 31, 2025 contains only two weeks. Year-over-year comparisons that cross that date are not like-for-like. The deal took goodwill from $3.45 billion at the end of fiscal 2024 to $26.90 billion at the end of fiscal 2025, net intangible assets from $195 million to $12.68 billion, and long-term debt from $16 million to $13.46 billion.
- Purchase accounting weighs heavily on reported profit. Amortization of acquired intangible assets, taken together across cost of revenue and operating expenses, was $54.6 million in fiscal 2023, $124.2 million in fiscal 2024, $504.4 million in fiscal 2025, and $1,210.3 million in the nine months ended July 31, 2026. That is the main reason fiscal 2025 operating income of $915 million fell below fiscal 2024's $1,356 million on higher revenue.
- Discontinued operations. Synopsys sold its Software Integrity business on September 30, 2024 and presents it as a discontinued operation in every period shown. Fiscal 2024 net income attributed to Synopsys of $2.26 billion includes $821.7 million from discontinued operations, largely an $868.8 million pre-tax gain on that sale; fiscal 2024 diluted EPS from continuing operations was $9.25 against $14.51 in total. Fiscal 2025 carries a $3.9 million loss from a working-capital true-up on the same sale. Continuing-operations lines are the comparable ones across these years.
- Processor IP divestiture. On June 1, 2026 Synopsys sold its Processor IP Solutions business, part of the Design IP segment, to GlobalFoundries for $443.3 million in cash, recognising a $425.4 million pre-tax gain within other income (expense), net, or $380.5 million after $44.9 million of divestiture-related expenses. It was not treated as a discontinued operation. That gain is the largest single item in the quarter ended July 31, 2026: other income (expense), net of $459.7 million against $170.5 million a year earlier.
- The quarter ended July 31, 2026 also carries $2.2 million of restructuring charges, against $236.3 million for the nine months, both under the 2026 Plan: a restructuring plan initiated in November 2025 for involuntary employee terminations as part of a business reorganization. Total charges were originally expected to range from $300.0 million to $350.0 million; in August 2026 the Board of Directors approved updated estimates ranging from $425.0 million to $500.0 million, consisting primarily of severance and other one-time termination benefits and other costs such as certain site closures as part of the company's global site strategy. The plan is anticipated to be completed by the end of fiscal 2027, with the majority of the workforce reduction in fiscal 2026.
- In December 2025 Synopsys sold approximately 4.8 million common shares to NVIDIA Corporation in a private placement at $414.79 per share for net proceeds of $2.0 billion, shown in the nine-month financing activities.
- Cash flow coverage. The Form 10-Q presents cash flows for the nine months only, so no discrete three-month cash flow statement exists for the quarter ended July 31, 2026 and none is published here; the nine-month figures are carried in the year-to-date block. Free cash flow is operating cash flow less purchases of property and equipment, net. Capital expenditure is recorded with the negative sign the filings print. Synopsys paid no dividends in any period shown.
- Balance sheet coverage. The 10-K prints balance sheets at October 31, 2025 and November 2, 2024 only, so fiscal 2023 carries no balance sheet here. The 10-Q prints balance sheets at July 31, 2026 and October 31, 2025 only, so the quarter ended July 31, 2025 carries none either.
- Total debt is short-term debt plus long-term debt as the balance sheet presents them: $13.48 billion at October 31, 2025 and $10.04 billion at July 31, 2026. It excludes operating lease liabilities, which the balance sheet reports separately. Debt fell over the nine months as Synopsys repaid $3.46 billion of borrowings.
- Redeemable non-controlling interest of $30.0 million at November 2, 2024 sat in the mezzanine, between liabilities and equity; it was redeemed during fiscal 2025 and is nil thereafter. Total equity as recorded here is total stockholders' equity including the non-controlling interest.
- The trailing-twelve-month block is derived, not printed: fiscal 2025 plus the nine months ended July 31, 2026 less the nine months ended July 31, 2025. No per-share trailing figure is given, because weighted-average share counts are not additive across periods and the Ansys share issuance of 30.0 million shares in July 2025 makes any such sum misleading.
- Segment results carry the company's own 'adjusted operating income', the measure its chief operating decision maker uses. It excludes amortization of acquired intangible assets, stock-based compensation, restructuring charges, acquisition and divestiture related items, and deferred compensation plan movements, all of which the filings reconcile to consolidated operating income. Segment figures therefore do not sum to the consolidated operating income line.
- Revenue by geography reflects where individual seats or licences are located, using the company's own allocation methodology for multi-regional transactions.
Uncertainties
- The trailing-twelve-month figures are arithmetic on published periods, not a view either filing presents. They are only as clean as the comparability of the periods behind them, and the Ansys acquisition sits inside the window.
- No discrete quarterly cash flow figures are available for the three months ended July 31, 2026 or July 31, 2025, because neither the Form 10-Q nor the accompanying earnings release breaks the nine-month cash flows into quarters.
- The period start dates for fiscal 2024 (October 29, 2023) and fiscal 2023 (October 30, 2022) are implied by the filing's statement that fiscal 2024 was a 53-week year ended November 2, 2024 and fiscal 2023 a 52-week year ended October 28, 2023. The statements themselves head those columns 'Year Ended October 31'.
- Quarter start dates of May 1, 2026 and May 1, 2025 follow from the company's statement that its fiscal quarters end January 31, April 30 and July 31; the filing does not print the start date.
- Segment adjusted operating income and adjusted operating margin are company-defined measures rather than GAAP subtotals.

FAQ · Synopsys financial statements
How much revenue did Synopsys report in Q3 FY2026?
Synopsys reported $2.48 billion in revenue for Q3 FY2026, the quarter ended July 31, 2026, up 42.4% from $1.74 billion in the same quarter a year earlier. Most of that increase reflects a full quarter of the Ansys business, acquired in July 2025, rather than organic growth.
What was Synopsys earnings per share in Q3 FY2026?
Synopsys reported diluted earnings per share of $2.84 for Q3 FY2026, against $1.50 in the same quarter a year earlier. Most of that increase came from a one-time pre-tax gain on the sale of the Processor IP business to GlobalFoundries, which closed in June 2026, so both that figure and net income of $545.8 million overstate the quarter's underlying operating performance.
How does the Ansys acquisition affect Synopsys reported operating income?
Synopsys reported operating income of $357.49 million for Q3 FY2026 on revenue of $2.48 billion. The gap between the two lines is driven by amortization of intangible assets recorded in the accounting for the Ansys acquisition, which is charged to both cost of revenue and operating expenses.
Did Synopsys Design IP segment return to growth in Q3 FY2026?
Synopsys reported Design IP segment revenue of $473.85 million for Q3 FY2026, up 10.8% from $427.57 million a year earlier. The segment underperformed through fiscal 2025, and Synopsys sold its Processor IP business to GlobalFoundries in June 2026 as part of a reallocation of resources within it.

When does Synopsys, Inc. (SNPS) next file with the SEC?
Synopsys, Inc. (SNPS) is expected to file its next Form 10-K with the SEC on or around December 14, 2026. That date is a projection rather than a company-announced date: it is derived from Synopsys, Inc.'s own filing history with the SEC, by taking the date the company filed the same fiscal period a year earlier and adding 52 weeks. The most recent periodic report on file is the 10-Q for Q3 FY2026, the period ended 2026-07-31, SEC accession 0000883241-26-000025.

How this page was built
This page was built from two of Synopsys, Inc.'s own filings with the SEC, read one at a time. Nothing on it is taken from a pre-tagged dataset, a data vendor or another website. The figures are on the company's own fiscal calendar and in actual dollars, as the filings report them. Where the filings do not support a figure, the record says so instead of reporting a zero; this period names five such gaps.
A single company files thousands of pages with the SEC in a year, and no two companies file them the same way, so the reading and the assembly here are done by AI rather than by rules that break on the differences. Every pass is then audited back against the filings it came from before the page is published, and anything the filings do not support is left out and named rather than filled in. AI can still make mistakes. That is why the accession numbers are printed: the filing is the authority, and this page is a route to it.
