Business

From the FY2025 Form 10-K, accession 0001551182-26-000007.

Eaton is a power management company that designs and manufactures electrical equipment and aerospace and vehicle systems. It sells circuit protection, power distribution and assemblies, power-quality equipment (single- and three-phase), wiring devices, utility distribution and power-reliability equipment, hazardous-duty electrical gear, cooling products, emergency lighting and fire detection, plus the engineering and field services that go with them. Its aerospace business supplies fuel, hydraulic, pneumatic, fluid-conveyance, fuel-inerting, mission-systems and high-performance interconnect products to commercial and military aircraft manufacturers and their aftermarkets. Its mobility business supplies transmissions and transmission components, clutches, differentials, engine valves, hybrid systems, high-voltage inverters and converters, power electronics and vehicle power distribution to truck, passenger-car and off-highway OEMs. Customers are reached through distributors, resellers and manufacturers' representatives as well as directly, original equipment manufacturers, utilities, data-center operators and other end users. Revenues were $27.4 billion in 2025, from customers in approximately 180 countries. The company is Irish-domiciled, with principal executive offices in Dublin, and runs manufacturing at roughly 201 locations in 36 countries with approximately 97,000 employees. It was founded in 1911.

Segments. Through 2025 Eaton reported five segments (FY2025 net sales / operating margin):

Segment2025 net salesOperating margin
Electrical Americas$13,276M29.9%
Electrical Global$6,815M19.4%
Aerospace$4,249M23.9%
Vehicle$2,505M16.7%
eMobility$604M(2.3)%

Electrical Americas covers electrical and industrial components, power distribution and assemblies, residential products, power quality, wiring devices, circuit protection, utility distribution and services produced and sold primarily in North and South America. Electrical Global covers the same product families outside the Americas, plus hazardous-duty equipment, cooling products, emergency lighting, fire detection and structural support systems sold globally. Their principal end markets are commercial and institutional, data centers and distributed IT, industrial, utilities, residential, and machinery OEMs. Aerospace serves commercial and military aircraft manufacturers and aftermarket customers, and includes industrial filtration and golf grips.

Effective in the first quarter of 2026 Eaton reorganized and now reports four segments, combining the legacy Vehicle and eMobility segments into a single Mobility segment; historical segment information has been recast.

Customer concentration. In 2025, 22% of the two Electrical segments' combined sales went to six large customers of electrical products and systems; 20% of Aerospace sales went to three large aircraft OEMs; 37% of Vehicle sales went to four large vehicle OEMs; and 18% of eMobility sales went to a single OEM.

Competition and seasonality. Eaton competes in its Electrical segments on product and system performance, technology, customer service and price, and describes itself as among the market leaders in many product lines. In normal economic cycles, Electrical sales are historically lower in the first quarter and higher in the third and fourth. Aerospace competes on total cost of ownership, system performance, quality, design engineering and timely delivery.

Inputs. Major raw-material requirements include iron, steel, copper, nickel, aluminum, lead, silver, gold, titanium, rubber, plastic, electronic components, chemicals and fluids, purchased from many suppliers.

Portfolio. Management frames the business around electrification, digitalization, North American reindustrialization and megaproject growth, and increased global infrastructure spending, and has been reshaping the portfolio accordingly, acquiring Fibrebond Corporation and Resilient Power Systems Inc. in 2025, closing Ultra PCS Limited in January 2026, agreeing to acquire Boyd Thermal, and announcing on January 26, 2026 its intention to separate the Mobility business. Details and consideration for each are in the MD&A and current-quarter sections below.

Risk factors

From the FY2025 Form 10-K, accession 0001551182-26-000007, condensed; plus the updated separation risk in the Q2 2026 Form 10-Q, accession 0001551182-26-000030.

Operational

  • Acquisitions and integration. Strategic transactions may involve significant cash outlays, debt incurrence, equity issuance and operating losses, may be dilutive to earnings and unfavorable to cash flow, and carry integration risk: diverted management attention, difficulty conforming controls and accounting policies, retention of key personnel and customers, cost synergies not achieved, contingent liabilities (including contingent tax and earn-out obligations) larger than expected, and unknown liabilities at acquired companies.
  • Separation of Mobility. Eaton may not complete the separation of the Mobility business and its merger with Dana Incorporated within the anticipated timeframe or at all; closing conditions include Dana stockholder approval and regulatory clearances. Reverse Morris Trust transactions are complex, and changes in law, macroeconomic or regulatory conditions could delay or prevent completion or erode the expected benefits. Whether or not it closes, the pursuit is costly and time-consuming, can divert management attention, can impair retention of key employees and relationships with customers and suppliers, may generate litigation, and may require Eaton to forgo Mobility business opportunities under the merger agreement's terms. The transaction is intended to be tax-free to shareholders for U.S. federal income tax purposes, but there is no assurance it will so qualify.
  • Production facility disruption. Worldwide manufacturing is exposed to natural disaster, labor strike, war, geopolitical instability, political unrest, terrorism, economic upheaval and public-health events; insurance may not compensate for losses.
  • Inflation and shortages. Eaton has been affected by supply-chain disruption and inflation; labor shortages persist in select markets and raw-material shortages continue to raise prices, particularly commodities. Suppliers are passing through their own cost increases. If Eaton cannot recoup these costs through pricing or product changes without compromising competitiveness, results could continue to be impacted, potentially materially.
  • Supplier reliance. Risks include commodity and component shortages, cost changes from inflation, exchange rates, taxes, tariffs and commodity volatility, poor quality or insecure supply chain, climate and severe-weather impacts on suppliers, sanctions and trade restrictions, and intellectual-property challenges. Eaton maintains single-source relationships where alternatives do not exist or the relationship is advantageous; unavailability or delay in single-source components would be more severe if tied to higher-volume, more profitable products, and qualifying alternates costs money and time.
  • Artificial intelligence. Failing to keep pace with AI developments could hurt Eaton's competitive position; deploying AI, particularly generative AI, creates regulatory scrutiny, litigation, compliance, ethics, confidentiality and security exposure, risks of leaked confidential information, and risks of inaccurate or biased output.
  • Cybersecurity. Eaton states that cybersecurity threats pose a material risk to its business operations, amplified by the increasingly connected nature of its products and systems; threats may be directed at Eaton, at software embedded in its products, or at third-party service providers. Consequences of a material incident include theft of intellectual property, operational disruption, reputational damage, health and safety consequences, product failure, and fines or enforcement actions. Data-protection regimes add exposure, GDPR alone permits fines of up to four percent of global revenue for certain violations.
  • Weather and related regulation; extreme weather creates physical risk to sites, suppliers and customers, and operational, environmental and social regulation may impose stringent obligations and shift customer demand.
  • Talent. Competition for skilled employees and leaders is intense, and Eaton has experienced and may again experience skilled and unskilled labor shortages that limit growth.

Industry and market

  • Technology disruption. Eaton's markets, data centers explicitly named, have seen abrupt introduction of disruptive technologies that could negatively affect end markets; equity markets in this space may be volatile and may not react rationally to newly introduced products, affecting Eaton's stock price.
  • End-market volatility. Segment revenue and profitability have varied and may vary quarter to quarter with macroeconomic conditions, new competitors and end-market cycles.
  • New products. Developing new products requires sustained innovation and is lengthy and costly; new or enhanced products may not be accepted, and shortened life cycles or new entrants can erode position.
  • Macroeconomic and geopolitical conditions, financial-market disruption, cost and availability of capital, downturns, military conflict, pandemics, tariffs and counter-measures, monetary policy, interest rates, inflation and deflation, commodity prices, currency volatility and exchange control, and the ability to expatriate earnings.

Legal and regulatory

  • Operating globally exposes Eaton to political and economic instability, expropriation, changing laws and policies, tariffs and trade barriers, trade treaties that affect the effective tax rate, supply-chain disruption, currency swings, weaker intellectual-property protection abroad and local labor conditions.
  • Trade policy. Tariffs and duties can materially increase costs for imported goods and create broader cost pressure even on goods not imported; mitigating price increases could cost market share or trigger customer disputes with cash-flow consequences.
  • Tax. Eaton is taxed in many jurisdictions; the effective rate can move materially with earnings mix across differing statutory rates, valuation-allowance changes or legislative change, and tax positions are subject to audit and litigation whose outcome cannot be predicted with certainty. Adverse resolution different from amounts reserved could have a material impact.
  • U.S. government contracting brings dependence on government spending levels, atypical contract terms, audits and investigations, and the possibility of fines, contract termination or debarment.
  • Intellectual property may be challenged, invalidated or circumvented, and confidentiality agreements may not deter misappropriation or independent development.
  • Litigation and environmental regulation, including claims from historic products that may have contained asbestos.

Management's discussion and analysis, fiscal 2025

From the FY2025 Form 10-K, accession 0001551182-26-000007.

Results. Net sales were $27,448 million, up 10% from $24,878 million in 2024, 8% organic, 2% from acquisitions, with foreign currency neutral. Gross profit was $10,317 million, 37.6% of sales, down from 38.2% in 2024: a 280 basis point decline from higher commodity and wage inflation and 50 basis points from higher acquisition and divestiture charges, partly offset by a 260 basis point benefit from higher sales. Income before income taxes was $4,932 million, up 8%. Net income attributable to Eaton shareholders was $4,087 million, or $10.45 per diluted share, up 8% and 10% respectively. Adjusted earnings, which exclude acquisition and divestiture charges, restructuring charges and intangible amortization, were $4,720 million, or $12.07 per share, up 9% and 12%.

Organic growth came from data-center strength in both Electrical segments, machine OEM and residential strength in Electrical Global, and broad-based strength across all Aerospace markets, offset by weak industrial end markets in both Electrical segments, weak North American truck and light-vehicle markets in Vehicle, and weakness in North America in eMobility.

Segment results.

  • Electrical Americas: sales $13,276M, up 16% (12% organic, 4% acquisitions); operating profit $3,972M, up 15%; margin 29.9%, down from 30.2% as a 380 basis point inflation headwind and 70 basis points of growth-investment cost slightly outweighed a 380 basis point volume benefit. Backlog $13,246M at year end, up 31% (19% organic); trailing customer orders up 16% organically; book-to-bill 1.2.
  • Electrical Global: sales $6,815M, up 9% (7% organic, 2% currency); operating profit $1,323M, up 15%; margin 19.4%, up from 18.4%, on a 270 basis point volume benefit against a 230 basis point inflation headwind. Growth came from data center, machine OEM and residential end markets and from the Asia-Pacific and European regions and the Global Energy Infrastructure Solutions business. Backlog $2,034M, up 19%; book-to-bill 1.0.
  • Aerospace: sales $4,249M, up 13% (12% organic); operating profit $1,013M, up 18%; margin 23.9%, up from 23.0%, driven by a 540 basis point volume benefit. Strength was broad-based with particular strength in military aftermarket. Backlog $4,316M, up 16%; book-to-bill 1.1.
  • Vehicle: sales $2,505M, down 10% (all organic) on North American truck and light-vehicle weakness; operating profit $419M, down 17%; margin 16.7%, down from 18.0%.
  • eMobility: sales $604M, down 9%; operating loss $14M; margin negative 2.3% versus negative 1.0%, hurt by unfavorable mix, commodity inflation and the prior-year gain on sale of non-production facilities.

Total corporate expense rose in 2025 on higher other expense, higher net interest expense and higher intangible amortization, partly offset by lower restructuring charges; the increase in other expense was primarily higher acquisition and divestiture costs and tax-litigation charges.

Costs below the segment line. Acquisition integration, divestiture charges and transaction costs were $183 million pre-tax ($0.37 per share after tax) versus $36 million in 2024, including $82 million of Fibrebond employee transaction and retention award expense and $10 million of Resilient employee incentive expense. Intangible asset amortization was $486 million ($0.99 per share after tax). The multi-year restructuring program begun in the first quarter of 2024 had incurred $335 million of charges through year-end 2025 against a total estimated program cost of $475 million, with $375 million of mature-year benefits expected when fully implemented; the program was expected to complete in 2026. A prior program launched in the second quarter of 2020 closed out at $382 million of total charges and delivered roughly $265 million of mature-year benefits realized in 2024.

Taxes. Income tax expense was $841 million, a 17.1% effective rate, versus 16.8% in 2024 and 15.8% in 2023, the increase driven by more income earned in higher-tax jurisdictions. The One Big Beautiful Bill Act, enacted July 4, 2025, did not have a material effect on 2025 results and is not expected to materially affect the effective rate in future periods.

Portfolio moves. On April 1, 2025 Eaton paid $1.43 billion, net of cash acquired, for Fibrebond Corporation, a designer and builder of pre-integrated modular power enclosures for data-center, industrial, utility and communications customers, reported in Electrical Americas. On August 6, 2025 it acquired Resilient Power Systems Inc., a developer of solid-state transformer technology, for $86 million, $55 million cash at closing plus an initial $31 million estimate of contingent consideration. On November 2, 2025 it signed an agreement to acquire Boyd Thermal for $9.5 billion, a U.S.-based global leader in thermal components, systems and ruggedized solutions for data center, aerospace and other end markets, with more than 5,000 employees. On January 23, 2026 it paid $1.53 billion, net of cash acquired, for Ultra PCS Limited, a U.K.-headquartered maker of electronic controls, sensing, stores ejection and data-processing solutions for aerospace customers. On January 26, 2026 Eaton announced its intention to spin off the Mobility business, the legacy Vehicle and eMobility segments, into an independent public company in a transaction expected to be tax-free to Eaton shareholders for U.S. federal income tax purposes.

Liquidity and capital allocation. At December 31, 2025 Eaton held cash of $622 million and short-term investments of $181 million, with $1 million of short-term debt, $1,136 million of current long-term debt and $8,758 million of long-term debt. In May 2025 an Eaton subsidiary issued €500 million ($564 million) of 3.625% notes due 2035 and $500 million of 4.45% notes due 2030. On September 29, 2025 a subsidiary entered a $3,000 million five-year revolving credit agreement expiring September 27, 2030, replacing a $500 million 364-day facility and a $2,500 million five-year facility; nothing was drawn at year end, and none of the $3,000 million commercial paper program was outstanding. On February 6, 2026 the company exercised a $1,000 million upsize of the revolver to $4,000 million, raised the commercial paper program to $4,000 million, and entered an $8,000 million senior unsecured delayed-draw term loan facility intended solely to help finance Boyd Thermal. Operating cash flow rose $145 million in 2025 on higher net income. Capital expenditures were $919 million and were guided to approximately $1.1 billion for 2026 to expand production capacity. Dividends paid were $1,626 million, and on February 26, 2026 the board declared a quarterly dividend of $1.10 per ordinary share, a 6% increase over the fourth-quarter 2025 rate. Eaton repurchased 5.7 million shares for $1.9 billion in 2025 under a $9.0 billion authorization renewed February 27, 2025, leaving $7,597 million available, but stated it did not intend to repurchase shares in 2026 because of the expected Boyd Thermal acquisition. Gross unrecognized income tax benefits were $1,300 million with $218 million of interest and penalties. Pension plan assets rose $198 million to $4,191 million, leaving a net unfunded position of $497 million; $124 million was contributed in 2025 and approximately $98 million is planned for 2026.

Current quarter, three and six months ended June 30, 2026

From the Form 10-Q for the quarter ended June 30, 2026, accession 0001551182-26-000030, and the second-quarter earnings release furnished on Form 8-K, accession 0001551182-26-000027.

Headline. Second-quarter net sales were a record $8,531 million, up 21% from $7,028 million, 14% organic and 7% from acquisitions. Net income attributable to Eaton shareholders was $821 million, or $2.11 per diluted share, down from $982 million and $2.51. Adjusted earnings were $1,228 million, or $3.15 per share, a second-quarter record, up from $2.95: the gap between GAAP and adjusted earnings widened sharply, to $0.50 per share of intangible amortization, $0.49 of acquisition and divestiture charges and $0.05 of restructuring. For the six months, sales were $15,982 million (up from $13,404 million), net income $1,687 million ($4.33 per share, down from $4.96) and adjusted earnings $2,322 million ($5.96, up from $5.67). Operating cash flow in the quarter was $1,127 million and free cash flow $874 million, up 23% and 22% year over year.

Total segment operating profit was $1,974 million, up 17%, on segment margins of 23.1%, down 80 basis points from a year earlier but above the top of guidance. The decline in GAAP earnings is almost entirely below the segment line: intangible amortization nearly doubled to $255 million from $129 million, net interest expense rose to $201 million from $71 million, other corporate expense rose to $353 million from $277 million, and acquisition and divestiture charges were $154 million pre-tax against $70 million. The effective tax rate was 28.1% for the quarter and 24.9% for the six months, against 17.2% and 17.6% a year earlier, on more income in higher-tax jurisdictions and $52 million of withholding tax related to funding the Boyd Thermal acquisition.

Consolidated gross margin fell from 37.0% to 33.5% in the quarter, a 390 basis point decline from commodity and wage inflation and a 150 basis point decline from higher intangible amortization, against a 160 basis point benefit from higher sales.

Segments.

  • Electrical Americas: sales $3,951M, up 18%, all organic, on data-center and machine-OEM strength offset by residential and industrial weakness. Operating profit $1,088M, up 10%; margin 27.5%, down from 29.5% year over year (a 470 basis point commodity-inflation headwind against a 260 basis point volume benefit) but up 190 basis points sequentially. Backlog $15,175M, up 33% (33% organic); trailing customer orders up 41% organically; book-to-bill 1.3.
  • Electrical Global: sales $2,517M, up 44%, 18% organic, 25% from Boyd Thermal in its first full quarter, 1% currency. Operating profit $499M, up 41%; margin 19.8% versus 20.1%, up 60 basis points sequentially. Backlog $3,602M, up 103% reported and 54% organic; customer orders up 33% organically; book-to-bill 1.1.
  • Aerospace: sales $1,222M, up 13%, 7% organic on commercial OEM and commercial aftermarket, 6% from Ultra PCS. Operating profit $278M, up 16%; margin 22.8%, up 60 basis points. Backlog $5,164M, up 28% reported and 18% organic; customer orders up 17% organically; book-to-bill 1.2.
  • Mobility: sales $841M, down slightly, with a 2% organic decline offset by 2% currency; the organic decline was European weakness in the quarter and, for the six months, the exit of a low-margin light-vehicle business in North America plus European weakness. Operating profit $109M, up 7%; margin 13.0%, up 90 basis points.

Total company backlog at June 30, 2026 was approximately $24.1 billion, of which roughly 71% is targeted for delivery within twelve months.

Balance sheet and financing. Total assets grew to $56,181 million from $41,251 million at year end, driven by the 2026 acquisitions: goodwill rose to $20,229 million from $15,769 million and other intangible assets to $12,611 million from $5,054 million. Long-term debt rose to $18,509 million from $8,758 million, short-term debt to $2,091 million from $1 million, and deferred tax liabilities to $2,139 million from $265 million. Cash was $483 million.

The financing to pay for it: on March 6, 2026 an Eaton subsidiary issued $8,500 million of notes in six tranches, 3.85% due 2028 ($1,500M), 3.95% due 2029 ($1,500M), 4.20% due 2031 ($1,500M), 4.50% due 2033 ($1,000M), 4.80% due 2036 ($2,000M) and 5.45% due 2056 ($1,000M), for net proceeds of $8,427 million. On March 10, 2026 Eaton Capital Unlimited Company issued €1,200 million ($1,390 million) in two €600 million tranches maturing 2034 and 2038 at 3.55% and 4.00%, for net proceeds of €1,191 million ($1,380 million). On the same March 6 date the company terminated the $8,000 million delayed-draw term loan facility it had signed on February 6, 2026, undrawn and without fees or penalties. Commercial paper outstanding was $2,088 million at June 30 under the $4,000 million program, used primarily for working capital and to partly fund the 2026 acquisitions; nothing was drawn on the $4,000 million revolver.

Cash used in investing rose $11,171 million year over year on $11,079 million of cash paid for acquisitions (versus $1,450 million). Financing provided $10,571 million more than a year earlier, on $9,871 million of borrowing proceeds and no share repurchases; Eaton repurchased no shares in the first half of 2026 versus 4.2 million shares for $1,306 million in the first half of 2025, and has said it does not intend to repurchase shares in 2026 following the Boyd Thermal acquisition. Dividends paid were $858 million. Capital expenditures were $446 million, with approximately $1.15 billion expected for the full year, a slight increase from the $1.1 billion indicated in the 10-K.

Portfolio transactions completed in 2026. On January 15, 2026 Eaton invested $75 million in SPAN, a maker of smart panel and power-control technology, for approximately a 7% stake. On January 23, 2026 it acquired Ultra PCS Limited for $1.53 billion net of cash, reported in Aerospace. On March 12, 2026 it acquired Boyd Thermal for $9.55 billion net of cash, more than 6,000 employees, reported in Electrical Global; goodwill from Boyd Thermal is not expected to be deductible for tax purposes, and $36 million of transaction costs were incurred in the first half. The Fibrebond purchase-price allocation was finalized in March 2026 with no material income-statement effect; the Ultra PCS and Boyd Thermal allocations remain preliminary.

Separation of Mobility. On June 10, 2026 Eaton entered definitive agreements with Dana Incorporated to separate the Mobility business and combine it with Dana in a Reverse Morris Trust transaction, superseding the plain spin-off announced January 26, 2026. Eaton will distribute Mobility (other than certain assets and liabilities sold directly to Dana in a concurrent asset sale) to shareholders through an exchange offer for shares of Mobility (USA) Corporation ("SpinCo"), followed if necessary by a clean-up pro rata distribution; a SpinCo subsidiary will then merge into Dana, with Dana surviving as a wholly owned SpinCo subsidiary. Eaton shareholders are expected to own at least 50.1% of the combined company, and Eaton will receive a cash distribution of approximately $1.1 billion before completion, subject to customary cash and indebtedness adjustment, tax payments and transaction charges; Eaton expects to use it consistent with its capital allocation framework, including debt repayment. The transaction is intended to be tax-free for U.S. federal income tax purposes and is expected to close in the first quarter of 2027, subject to Dana stockholder approval, regulatory approvals and customary conditions. Mobility continues to be reported in continuing operations until closing. If the transaction is not consummated, Eaton intends to separate Mobility in a spin-off.

Management's framing. Chief executive Paulo Ruiz described the quarter as accelerating momentum with record sales and sequential margin expansion, especially in Electrical Americas, and said that while data centers remain a key growth driver the company is seeing robust demand across its end markets.

Portfolio transformation: Mobility separation and Dana combination

  • January 26, 2026 (accession 0001140361-26-002286): Eaton announced its intention to separate its Mobility business (Vehicle and eMobility segments) into an independent, publicly traded company via a tax-free spin-off, targeted for completion by the end of the first quarter of 2027. Management framed the move as sharpening the company's focus on its higher-growth, higher-margin Electrical and Aerospace businesses.
  • June 10-11, 2026 (accession 0000950142-26-001733): Eaton entered into definitive agreements to combine its Mobility business with Dana Incorporated (NYSE: DAN) in a Reverse Morris Trust transaction. The deal values the combined company at over $10 billion in enterprise value and Eaton's Mobility Group at approximately $5.1 billion (8.3x 2026 estimated pro forma adjusted EBITDA, or 5.9x fully synergized). Eaton will receive approximately $1.1 billion in cash and Eaton shareholders will own at least 50.1% of the combined company, which will operate as Dana Incorporated (NYSE: DAN). Expected run-rate synergies are $250 million. The transaction, agreed but not yet closed, is expected to close in the first quarter of 2027, subject to Dana shareholder approval, regulatory clearances, and customary closing conditions. As of the June 30, 2026 quarter, this remained an agreement in place, not a completed transaction; Mobility continued to be reported as an Eaton segment.

  • February 3, 2026 (accession 0001551182-26-000002): Q4 and full-year 2025 results, Q4 EPS of $2.91 (adjusted $3.33), both records. Full-year 2025 sales were a record $27.4 billion, up 10%, with EPS of $10.45 (adjusted $12.07). The company issued initial full-year 2026 guidance of EPS $11.57-$12.07 and adjusted EPS $13.00-$13.50, implying roughly 13% and 10% growth at the midpoints, respectively. The planned Mobility spin-off (see above) was disclosed a week earlier in a separate Item 7.01 Form 8-K furnished January 26, 2026 (accession 0001140361-26-002286), not in this earnings announcement.
  • May 5, 2026 (accession 0001551182-26-000010): Q1 2026 results, EPS of $2.22 (adjusted $2.81, a first-quarter record), sales of $7.5 billion, up 17%, organic growth of 10% above the high end of guidance. The company raised full-year 2026 organic growth guidance to 10% from 8% at the midpoint and adjusted EPS to $13.05-$13.50, while lowering GAAP EPS guidance to $10.88-$11.33 from $11.57-$12.07 on higher acquisition-related charges.
  • July 31, 2026 (accession 0001551182-26-000027): Q2 2026 results, EPS of $2.11 (adjusted $3.15, a second-quarter record), sales of a record $8.5 billion, up 21%, with 14% organic growth above the high end of guidance. Segment margins of 23.1% were above the high end of guidance. The company again raised its full-year 2026 organic growth guidance (to 11-13%) and raised full-year adjusted EPS guidance to $13.40-$13.60 (up 12% at the midpoint over 2025), while full-year GAAP EPS guidance was reduced again, to $10.36-$10.56 from $10.88-$11.33 in the prior quarter, reflecting higher intangible amortization and acquisition-related charges tied to the Boyd Thermal and Ultra PCS acquisitions.

Full-year 2025 guidance was reaffirmed at the time of the announcement. The Form 8-K/A disclosed his departure compensation arrangements, including a payment equal to two times his salary and target annual incentive, prorated long-term incentive eligibility, and continued vesting of unvested equity awards.
  • March 2, 2026 (accession 0001140361-26-007206): David B. Foster, a 29-year Eaton veteran who had retired in 2022, was appointed Executive Vice President and Chief Financial Officer effective March 2, 2026, succeeding Leonetti. • April 22, 2026 (accession 0001140361-26-016399): At Eaton's Annual General Meeting, shareholders elected all eleven director nominees, ratified Ernst & Young LLP as independent auditor for 2026, approved executive compensation on an advisory basis, and approved routine Irish-law share-issuance and share-purchase authorizations.

Note on scope

No going-concern, covenant, impairment, or material litigation disclosures were identified in the Form 8-K filings reviewed. The 5.9x/8.3x EBITDA valuation multiples cited for the Dana combination, and Eaton's resulting ownership share of "at least 50.1%," are the terms disclosed as of the signing; the final exchange ratio and definitive closing terms had not yet been finalized in the filings reviewed and remain subject to the transaction's stated closing conditions.

Notes

  • Figures come from two filings: Eaton Corporation plc's Form 10-K for the year ended December 31, 2025 (accession 0001551182-26-000007, filed February 26, 2026) and its Form 10-Q for the quarter ended June 30, 2026 (accession 0001551182-26-000030, filed July 31, 2026). Every statement in both is captioned in millions except per-share data; all amounts here are restated into actual dollars, share counts into actual shares, and per-share amounts left in dollars per ordinary share.
  • The periods reported are exactly the ones those two filings print. The 10-K's income statement and cash flow statement carry three years (2025, 2024, 2023) and its balance sheet carries two (December 31, 2025 and 2024), so fiscal 2023 is reported here without a balance sheet. The 10-Q prints the three months and six months ended June 30, 2026 and 2025, a balance sheet at June 30, 2026 alongside December 31, 2025, and a cash flow statement on a six-month basis only.
  • Eaton is reported on a standard industrial template: net sales, cost of products sold, gross profit, segment operating profit, net income and diluted EPS; a balance sheet with cash, debt, assets and equity; and cash flow with capital expenditures and free cash flow. The company is a diversified power management manufacturer, so this is the frame that makes the business legible.
  • Eaton's income statement does not print a gross profit line. Gross profit here is net sales less cost of products sold, which reproduces the gross profit Eaton itself publishes in the 10-K's Consolidated Financial Results table: $10,317 million for 2025, $9,503 million for 2024 and $8,434 million for 2023, or 37.6%, 38.2% and 36.4% of net sales.
  • Eaton also prints no consolidated operating income line. In its place this record carries total segment operating profit, the measure Eaton's chief operating decision maker uses, taken from the business segment note: $6,713 million in 2025, $5,959 million in 2024 and $5,093 million in 2023. Corporate items - intangible asset amortization, net interest expense, restructuring charges and other - sit between that subtotal and income before income taxes.
  • 'net_income' is net income attributable to Eaton ordinary shareholders, which is the numerator Eaton strikes its per-share figures on. The consolidated total before deducting noncontrolling interests is carried separately as 'net_income_including_noncontrolling_interests'.
  • Total debt is short-term debt plus the current portion of long-term debt plus long-term debt, as those three lines appear on the balance sheet. Net debt subtracts cash and short-term investments. Total liabilities is total current liabilities plus total noncurrent liabilities; Eaton's balance sheet does not print a combined total.
  • Free cash flow is net cash provided by operating activities less capital expenditures for property, plant and equipment. Cash flow amounts are carried with the sign the statement prints, so capital expenditures, dividends paid and share repurchases are negative.
  • The three-month periods carry no cash flow statement. Eaton's 10-Q presents cash flows on a six-month basis only, so the six-month figures are held in the year-to-date block rather than being split into quarters.
  • The trailing-twelve-month view is derived: fiscal 2025 plus the six months ended June 30, 2026 less the six months ended June 30, 2025. On that basis net sales are $30,026 million, net income attributable to ordinary shareholders $3,829 million, operating cash flow $4,950 million and free cash flow $3,934 million. Trailing diluted EPS of $9.82 is the same combination of the printed per-share figures; no trailing weighted-average share count is stated, because a weighted average cannot be added across periods.
  • During the first quarter of 2026 Eaton reorganized its reporting segments, combining the former Vehicle and eMobility segments into a single Mobility segment. The 10-Q recasts prior-period segment information onto the new four-segment basis (Electrical Americas, Electrical Global, Aerospace, Mobility); the 10-K, filed before the change took effect, presents fiscal 2025, 2024 and 2023 on the former five-segment basis. The annual and quarterly segment breakdowns in this record therefore sit on different bases and are not directly comparable. Consolidated net sales, profit and per-share figures are unaffected.
  • The June 30, 2026 balance sheet reflects two acquisitions closed in the first half of 2026: Boyd Thermal, a thermal components and systems business bought on March 12, 2026 for $9.55 billion net of cash acquired and reported within Electrical Global, and Ultra PCS Limited, an aerospace electronic controls business bought on January 23, 2026 for $1.53 billion net of cash acquired and reported within Aerospace. Cash paid for acquisitions was $11,079 million in the six months. Goodwill rose from $15,769 million to $20,229 million, other intangible assets from $5,054 million to $12,611 million, and total debt from $9,895 million to $20,611 million.
  • Those purchase price allocations are preliminary. Eaton states that the estimated fair values for Boyd Thermal and Ultra PCS will continue to be revised during the measurement period and that the differences could have a material impact on the allocation.
  • The acquisitions also explain why second-quarter earnings fell while sales rose. Net sales grew 21% year over year to $8,531 million, but intangible asset amortization roughly doubled to $255 million from $129 million and net interest expense rose to $201 million from $71 million, leaving diluted EPS at $2.11 against $2.51 a year earlier.
  • Both filings state that certain prior year amounts have been reclassified to conform to the current year presentation. No period's previously reported consolidated results were restated in a way that changed the figures in these statements.
  • Share counts were checked against the filings themselves: the ordinary share rollforward in the 10-K's statement of shareholders' equity ties (392.9 million at the end of 2024, less 5.7 million repurchased, plus 0.7 million issued under equity-based compensation plans, equals 387.9 million at the end of 2025), and the 388.4 million ordinary shares outstanding at June 30, 2026 sit alongside a weighted-average diluted count of 389.5 million for the quarter.
  • Eaton reports in US dollars, so no currency translation was applied. The company's ordinary shares are listed directly rather than as depositary receipts, and it has not split its shares in the period these filings cover, so no per-share adjustment was made.

Uncertainties

  • No cash flow statement is reported for the individual three-month periods. Eaton's 10-Q presents cash flows for the six months ended June 30 only, and splitting them into quarters would require a first-quarter cash flow statement that is not in either of these filings.
  • No balance sheet is reported for the quarter ended June 30, 2025. The 10-Q's balance sheet columns are June 30, 2026 and December 31, 2025, and no balance sheet as of June 30, 2025 appears in either filing.
  • The first quarters of 2026 and 2025 are not reported as separate periods. Neither filing prints a three-month column ending March 31, and a first quarter obtained by subtracting the second quarter from the six months would carry no cash flow or balance sheet of its own.
  • Fiscal 2023 carries no balance sheet. The 10-K's balance sheet presents only December 31, 2025 and December 31, 2024.
  • The goodwill, other intangible assets and deferred income tax balances at June 30, 2026 rest on preliminary purchase price allocations for Boyd Thermal and Ultra PCS that Eaton says may still change materially during the measurement period.
  • Segment figures for fiscal 2025, 2024 and 2023 are on Eaton's former five-segment basis and segment figures for the 2026 and 2025 quarters are on the recast four-segment basis, so the two sets should not be compared line for line.
  • Eaton notes in both filings that columns and rows may not add and that the sum of components may not equal reported totals because of rounding. Total liabilities plus total equity differs from total assets by $1 million at December 31, 2024 and at June 30, 2026 for that reason.
