Published

Danaher reported $6.55 billion in revenue for Q3 FY2026, the quarter ended September 25, 2026, up 8.3% from a year earlier, with acquisitions, chiefly Masimo, accounting for most of the growth. Net earnings were $1.24 billion, or $1.75 per diluted share, up 36.0% from $908 million, but most of that gain came from a one-time tax benefit from releasing reserves for uncertain tax positions after audit settlements. Operating profit was $1.25 billion, up 7.9%, a much smaller gain that came from Biotechnology and Life Sciences; Masimo lifted Diagnostics sales to $2.88 billion, but lower-margin acquired businesses and the Masimo inventory step-up cut Diagnostics operating profit to $614 million, down 7.7%.

Notes

  • Annual figures come from Danaher's FY2025 Form 10-K (accession 0000313616-26-000062): statements of earnings and cash flows for 2025, 2024 and 2023, and balance sheets as of December 31, 2025 and 2024. FY2023 therefore carries no balance sheet, because this 10-K does not print one for that date.
  • Quarterly, nine-month and balance-sheet figures for 2026 come from the Q3 2026 Form 10-Q (accession 0000313616-26-000199), which presents the three and nine months ended September 25, 2026 and September 26, 2025. Its December 31, 2025 balance-sheet column matches the 10-K line for line.
  • The 10-Q's cash flow statement covers only the nine-month periods. The three-month cash flow figures for Q3 FY2026 and Q3 FY2025 (operating, investing and financing cash flow, capital expenditures and disposal proceeds) therefore come from the Q3 2026 earnings release furnished as Exhibit 99.1 to the 8-K filed October 21, 2026 (accession 0000313616-26-000201). Each quarter records this as its cash_flow_source_accession. The release's nine-month operating cash flow and capital expenditures agree with the 10-Q.
  • Non-GAAP figures (adjusted diluted EPS from continuing operations, Danaher's own definition of free cash flow, and core sales growth) are as Danaher reports them in the same earnings release (accession 0000313616-26-000201). They are not GAAP measures.
  • Danaher's fiscal year ends December 31, and its interim quarters end on a Friday close to the calendar quarter-end. Q3 FY2026 runs from June 27 to September 25, 2026, and Q3 FY2025 from June 28 to September 26, 2025. The second quarters ended June 26, 2026 and June 27, 2025, according to the Q2 2026 earnings release (accession 0000313616-26-000163).
  • On June 10, 2026 Danaher acquired Masimo Corporation for a cash purchase price of approximately $9.8 billion, net of cash acquired, and reports it in the Diagnostics segment (10-Q Note 2). The acquisition accounts for most of the $9,881 million of cash paid for acquisitions in the nine months, and it drove the increase in goodwill and other intangible assets. It also drove higher borrowing: total debt rose to $26,482 million at September 25, 2026 from $18,418 million at December 31, 2025. According to the earnings release, acquisitions contributed 6.5 percentage points of the quarter's 8.5% total sales growth.
  • Q3 FY2026 income taxes were a net benefit of $75 million, against a $168 million expense a year earlier. The earnings release attributes this to net discrete tax benefits of $263 million in the quarter, related primarily to the release of reserves for uncertain tax positions following audit settlements. Separately, the quarter's $28 million of earnings from discontinued operations is an income tax benefit from releasing reserves on tax returns that were filed jointly with Veralto Corporation and Fortive Corporation entities before those businesses separated (10-Q Note 3).
  • FY2023 includes Veralto Corporation, which was separated in 2023, as a discontinued operation: $543 million of earnings from discontinued operations, $674 million of operating cash flow from discontinued operations, and $21 million of mandatory convertible preferred stock dividends deducted to reach earnings attributable to common stockholders. FY2023 diluted EPS of $6.38 is struck on that $4,743 million.
  • Operating cash flow throughout this record is cash from continuing operations, the basis the 10-Q and the earnings release use. For the annual periods, operating_cash_flow_including_discontinued_operations also gives the 10-K's total (FY2023: $7,164 million against $6,490 million from continuing operations).
  • Free cash flow here is operating cash flow from continuing operations less capital expenditures. Danaher's own non-GAAP free cash flow also adds back proceeds from sales of property, plant and equipment, so it can differ slightly: Q3 FY2026 is $1,632 million as Danaher reports it and $1,631 million here. Danaher's figure appears under non_gaap.free_cash_flow_company_definition.
  • Segment operating profit is as reported in the segment note of each filing. other_unallocated_corporate is unallocated corporate costs and other costs not considered part of segment performance; together with the three segments, it sums to consolidated operating profit in every period.
  • The trailing twelve months to September 25, 2026 is derived as FY2025 plus the nine months of 2026, minus the nine months of 2025. It carries no per-share figures, because EPS does not sum across periods.
  • Common stock dividends declared and repurchases including excise tax come from the statements of stockholders' equity. Dividends paid and payments for repurchases come from the cash flow statements, and the two can differ in timing.
  • As the 10-Q's own footnote states, nine-month EPS amounts do not equal the sum of the three-month amounts because of rounding.
  • After the quarter closed, on September 28, 2026, Danaher acquired StatLab Medical Products for approximately $1.4 billion, including assumed indebtedness and net of acquired cash (10-Q Note 2, subsequent event). It is not reflected in any figure here.

Uncertainties

  • The three-month cash flow figures for Q3 FY2026 and Q3 FY2025 come from the earnings release. No filed financial statement prints them, because the 10-Q's cash flow statement is nine-month only, so they cannot be confirmed against a statement. The release's nine-month figures do agree with the 10-Q.
  • The Q3 FY2025 quarter carries no balance sheet, because the Q3 2026 10-Q compares the September 25, 2026 balance sheet with December 31, 2025, not with September 26, 2025.

Danaher's net earnings were $1.24 billion in Q3 FY2026, up 36.0% from $908 million a year earlier. Most of the increase came from a one-time tax benefit from releasing reserves for uncertain tax positions, while Danaher's operating profit was $1.25 billion, up 7.9%.

What was Danaher's diluted EPS in Q3 FY2026?

Danaher earned $1.75 per diluted share in Q3 FY2026, including discontinued operations, up 37.8% from $1.27 a year earlier. The figure includes a one-time tax benefit from released reserves for uncertain tax positions.

How did the Masimo acquisition affect Danaher's results in Q3 FY2026?

Danaher completed its purchase of Masimo in June and reports it in its Diagnostics segment, whose sales were $2.88 billion in Q3 FY2026, up 17.0% from $2.46 billion a year earlier, with acquisitions accounting for nearly all of that growth. Diagnostics operating profit fell to $614 million from $665 million, and the segment's operating margin narrowed, as lower-margin acquired businesses and the Masimo inventory step-up weighed on it.

How this page was built

This page was built from four of Danaher Corporation's own filings with the SEC, read one at a time. Nothing on it is taken from a pre-tagged dataset, a data vendor or another website. The figures are on the company's own fiscal calendar and in actual dollars, as the filings report them. Where the filings do not support a figure, the record says so instead of reporting a zero; this period names two such gaps.

A single company files thousands of pages with the SEC in a year, and no two companies file them the same way, so the reading and the assembly here are done by AI rather than by rules that break on the differences. Every pass is then audited back against the filings it came from before the page is published, and anything the filings do not support is left out and named rather than filled in. AI can still make mistakes. That is why the accession numbers are printed: the filing is the authority, and this page is a route to it.
