NoteNo per-share figure in this record has been adjusted. BD has not split its shares in any period covered here. The February 9, 2026 spin-off of the Biosciences and Diagnostic Solutions business, in which BD shareholders received Waters Corporation shares, is a distribution of a business, not a share split; BD's own share count did not change because of it. The April 1, 2022 Embecta spin-off is likewise not a split. BD's common stock trades directly on the New York Stock Exchange, so no depositary-receipt conversion applies.

Notes

  • BD's fiscal year ends on September 30 and its fiscal quarters end on calendar quarter ends. This record covers the third quarter of fiscal 2026 (the three months ended June 30, 2026), the year-ago third quarter, the nine months ended June 30 of both years, and the three fiscal years (2025, 2024 and 2023) that the most recent annual report presents.
  • Two bases of presentation appear in this record, and they are not directly comparable. On February 9, 2026 BD completed the spin-off of its former Biosciences and Diagnostic Solutions business (previously its Life Sciences segment) and that business's combination with Waters Corporation in a Reverse Morris Trust transaction. The third-quarter fiscal 2026 Form 10-Q (accession 0000010795-26-000035) reports that business as discontinued operations for every period before the spin-off, so the quarterly, nine-month and trailing-twelve-month figures here are on a continuing-operations basis that excludes it. The fiscal 2025 Form 10-K (accession 0000010795-25-000099) was filed before the transaction and includes the business in continuing operations, so the annual figures here are as originally reported on that basis. Each period records its basis in a 'basis' field.
  • The size of the difference: fiscal 2025 revenues were $21.840 billion as reported in the annual report, and $18.544 billion on the post-spin-off continuing-operations basis in the recast historical financial information BD furnished on April 2, 2026 (accession 0001628280-26-023185). Net income for fiscal 2025 is $1.678 billion on both bases; on the recast basis $1.100 billion of it is from continuing operations and $577 million from discontinued operations. This is a re-presentation for a discontinued operation, not a correction of an error.
  • In the transaction BD shareholders received shares of Waters common stock representing 39.2% of the combined company on a fully diluted basis. BD received a $4 billion cash distribution from the spin-off entity, funded by $4 billion of debt that entity incurred, offset by a $143 million distribution to the spin-off entity for its opening cash and certain working-capital adjustments; the net $3.857 billion appears in the nine-month fiscal 2026 financing cash flows as 'distribution_from_spin_off_entity_net'. The 10-Q states that BD used $2 billion of the proceeds to repurchase its own shares through an accelerated share repurchase program and the remaining $2 billion to repay debt. The 10-Q's statement of shareholders' equity records the spin-off as an increase in retained earnings of $1.288 billion in the second quarter of fiscal 2026 and $27 million in the third quarter.
  • The loss from discontinued operations of $74 million in the third quarter of fiscal 2026 is described in the 10-Q as primarily foreign taxes associated with the transaction, together with other costs of related residual activities. For the nine months the loss from discontinued operations was $276 million, which the 10-Q's discontinued-operations table shows as a $140 million pre-tax loss and a $137 million income tax provision, largely reflecting the business's results through the February 9, 2026 transaction date.
  • The September 30, 2025 balance sheet appears twice. The fiscal 2025 annual entry carries it as the annual report printed it. The 10-Q prints the same date recast, with the spun-off business's assets and liabilities regrouped into discontinued-operations lines; that version is carried separately under 'recast_comparatives'. Total assets ($55.325 billion) and total shareholders' equity ($25.390 billion) are the same in both, but individual lines differ: cash and equivalents is $641 million as originally reported and $567 million as recast, the 10-Q stating that $74 million of cash belonged to the discontinued business. The recast version prints current debt obligations of $1,559 million and long-term debt of $17,620 million against $1,560 million and $17,621 million in the annual report, a $1 million difference on each line. The recast version is the like-for-like comparison for June 30, 2026.
  • The 10-Q presents cash flows for the nine months ended June 30 only. The three-month cash flow figures in each quarterly entry (operating cash flow, capital expenditures, free cash flow, net investing and financing cash flows, dividends paid and share repurchases) are derived: the nine-month figure from the 10-Q less the six-month figure from the condensed consolidated statements of cash flows in BD's second-quarter fiscal 2026 earnings release (accession 0001628280-26-031638), which presents the six months ended March 31, 2026 and 2025 on the same post-spin-off continuing-operations basis. Each quarterly entry records both accessions in 'cash_flow_source_accession'. Quarterly depreciation and amortization is not derived; the 10-Q's segment note prints it for the three months directly. The derived dividends paid ($286 million in the third quarter of fiscal 2026 and $299 million a year earlier) agree with the common dividends the 10-Q's statement of shareholders' equity records for those quarters.
  • Free cash flow is operating cash flow from continuing operations less capital expenditures. BD's third-quarter earnings release (accession 0001628280-26-053790) prints this figure for the nine months: $1.728 billion in fiscal 2026 and $1.195 billion in fiscal 2025, matching the figures here. For the fiscal years and the quarters it is computed from the operating cash flow and capital expenditure lines.
  • BD's income statement does not print a gross profit line. 'gross_profit' here is revenues less cost of products sold, the same arithmetic as the 'gross margin' line in BD's earnings-release reconciliations. BD records amortization of acquired intangible assets in cost of products sold, so this gross profit is after that amortization.
  • Sign conventions: revenue, cost and operating expense lines are positive, as printed. Interest expense is negative, as printed. 'other_income_expense_net' and 'other_operating_expense_income_net' keep the statements' own signs. Capital expenditures, dividends paid, share repurchases and payments of debt are positive amounts of cash spent. Net investing and financing cash flows, acquisitions and discontinued-operations cash flows keep the sign printed, so a negative figure there is a net use of cash.
  • Operating, investing and financing cash flows are the continuing-operations subtotals the statements print. Cash flows of discontinued operations are carried separately as 'discontinued_operations_net_cash_flow'. In the annual report the Biosciences and Diagnostic Solutions business was still part of continuing operations, so the fiscal-year operating cash flows include it; the discontinued-operations lines for fiscal 2024 and 2023 relate to the Diabetes Care business BD spun off as Embecta Corp. on April 1, 2022.
  • Fiscal 2023's $46 million loss from discontinued operations is, per the annual report, a foreign tax associated with the April 1, 2022 Embecta spin-off. Fiscal 2023 also carries $60 million of preferred stock dividends: BD's mandatory convertible preferred shares converted into 5.955 million common shares on June 1, 2023. Fiscal 2023 earnings per share is struck on net income applicable to common shareholders of $1.424 billion.
  • In the second quarter of fiscal 2026 BD recorded $450 million of non-cash asset impairment charges within integration, restructuring and transaction expense, across all of its reportable segments. This is why that line is $729 million for the nine months ended June 30, 2026, against $277 million a year earlier. Other income (expense), net for the nine months includes a $122 million gain from debt extinguishment, and $22 million (three months) and $35 million (nine months) of income under the transition services agreement with Waters.
  • Total liabilities is not printed as a single line on BD's balance sheets. 'total_liabilities' here is the sum of the liability lines the balance sheet prints: total current liabilities, long-term debt, long-term employee benefit obligations, deferred income taxes and other liabilities, and, on the 10-Q's balance sheets, noncurrent liabilities of discontinued operations. Because each printed line is rounded to the million, the sum can differ by $1 million to $2 million from total assets less total shareholders' equity.
  • Total debt is current debt obligations plus long-term debt, as the balance sheet prints them: $16.808 billion at June 30, 2026, against $19.179 billion at September 30, 2025 as recast ($19.181 billion as originally reported). During the nine months BD retired notes and debentures through tender offers funded by the spin-off proceeds. In May 2026 it issued EUR 600 million ($707 million) of 3.855% notes due 2033 and used the proceeds, with cash on hand, to repay at maturity EUR 600 million ($696 million) of 1.208% notes due June 4, 2026.
  • Share counts: 370,594,401 common shares were issued at every balance sheet date in this record. Shares held in treasury were 81,493,082 at September 30, 2024 and 85,192,233 at September 30, 2025 (annual report balance sheet), and 98,208 thousand at June 30, 2026 (10-Q statement of shareholders' equity). The 10-Q cover reports 272,386,800 shares outstanding at June 30, 2026. Outstanding shares at the September dates are issued shares less treasury shares.
  • Share repurchases in fiscal 2026: 1.315 million shares for $250 million in open-market purchases in the first quarter, and a $2 billion accelerated share repurchase executed in the second quarter that delivered 9.320 million shares initially and 3.211 million more at settlement in the third quarter. No cash was spent on repurchases in the third quarter itself. Diluted weighted-average shares were 275.2 million in the third quarter of fiscal 2026, against 287.2 million a year earlier.
  • Segments: effective October 1, 2025 BD reorganized into new business segments, and after the spin-off it reports four: Medical Essentials, Connected Care, BioPharma Systems and Interventional. The 10-Q recasts the prior-year quarter and nine months onto that structure, on a continuing-operations basis. The fiscal-year segment figures are from the annual report and use the earlier three-segment structure (Medical, Life Sciences, Interventional), so they cannot be lined up against the quarterly segments. Segment operating income is BD's own measure: operating income before taxes excluding net interest, corporate and unallocated costs and specified items such as purchase accounting adjustments, integration and restructuring costs and separation-related items. The filings reconcile it to income from continuing operations before income taxes.
  • For fiscal 2024 the annual report's segment revenues total $20.245 billion, against consolidated revenues of $20.178 billion. The annual report attributes the difference to $67 million of accruals recorded against revenues for the Italian government's medical device payback legislation and another legal matter, which substantially related to years before fiscal 2024 and which BD did not allocate to its segments.
  • Revenue by geography: the 10-Q splits revenues from continuing operations between the United States and international. The annual report splits them among the United States, EMEA, Greater Asia and Other. Both are carried as printed under 'geographic_revenues'.
  • Dividends per common share are the declared amounts. For the quarters and nine months they come from the 10-Q's income statement, and for the fiscal years from the annual report's statement of shareholders' equity ($4.16 in fiscal 2025, $3.80 in fiscal 2024, $3.64 in fiscal 2023). 'dividends_paid' in the cash flow blocks is the cash amount.
  • The trailing-twelve-month view (July 1, 2025 to June 30, 2026) is derived, not filed. It is fiscal 2025 on the recast continuing-operations basis (April 2, 2026 recast historical financial information), plus the nine months ended June 30, 2026, less the nine months ended June 30, 2025, both from the 10-Q. That keeps all three components on the same post-spin-off basis. Its per-share amounts are the sums of the components' printed per-share figures, and it carries no weighted share count.
  • The quarter ended June 30, 2025 is shown as the 10-Q recasts it, on the post-spin-off basis. It therefore differs from the figures BD originally reported for that quarter, which included the Biosciences and Diagnostic Solutions business.
  • No share split occurred in any period covered here. Every per-share amount is as the filings print it. The Waters transaction distributed a business to shareholders and did not change the number of BD shares.

Uncertainties

  • The three-month cash flow figures for both third quarters are derived by subtraction. The six-month component comes from an unaudited earnings release, not a Form 10-Q, so any later revision of those six-month figures is not reflected here.
  • The trailing-twelve-month income statement depends on BD's unaudited recast of fiscal 2025, furnished on April 2, 2026. That recast and the third-quarter fiscal 2026 10-Q disagree by $1 million on five lines for the quarter ended June 30, 2025: the recast prints operating income of $740 million, cost of products sold of $2,490 million, other expense, net of $23 million, income from continuing operations before income taxes of $568 million and net income from continuing operations of $450 million, the 10-Q $739 million, $2,491 million, $22 million, $569 million and $451 million. Over the nine months ended June 30, 2025 the two sources agree on revenues and operating income, so the trailing figures can carry rounding differences of a few million dollars.
  • No trailing-twelve-month cash flow is given. None of the filings read for this record presents fiscal 2025 cash flows on the post-spin-off continuing-operations basis, and combining the annual report's fiscal 2025 cash flows, which include the spun-off business, with the 10-Q's recast nine-month figures would mix two bases.
  • The quarter ended June 30, 2025 and fiscal 2023 carry no balance sheet. The annual report and the 10-Q print balance sheets only at June 30, 2026, September 30, 2025 and September 30, 2024.
  • The annual figures (on the pre-spin-off basis) and the quarterly, nine-month and trailing-twelve-month figures (on the post-spin-off basis) should not be compared directly. A fiscal 2025 annual total is not the sum of quarters on the basis shown here.
  • Segment operating income is a measure BD defines itself and is not a generally accepted accounting principles measure. It may not be comparable to similarly titled measures at other companies.

FAQ · Becton, Dickinson financial statements

How much revenue did Becton Dickinson report in Q3 FY2026?

Becton Dickinson reported revenue from continuing operations of $4.98 billion for Q3 FY2026, the quarter ended June 30, 2026, up 5.4% from $4.73 billion in the same quarter a year earlier. Both figures exclude the Biosciences and Diagnostic Solutions business that BD separated and combined with Waters Corporation, with the prior-year quarter recast on the same basis.

Why did Becton Dickinson's net income fall in Q3 FY2026?

Becton Dickinson's net income was $377 million in Q3 FY2026, compared with $574 million a year earlier, because discontinued operations posted a loss of $74 million, mainly foreign taxes associated with the separation of its Biosciences and Diagnostic Solutions business, against income of $123 million in the prior-year quarter. Net income from continuing operations was $451 million, flat from a year earlier.

What was Becton Dickinson's diluted EPS in Q3 FY2026?

Becton Dickinson reported diluted earnings per share of $1.37 for Q3 FY2026, compared with $2.00 a year earlier. Diluted EPS from continuing operations was $1.64, up 4.5% from $1.57, as a smaller diluted share count spread net income from continuing operations that was flat from a year earlier.

How did Becton Dickinson's operating income change in Q3 FY2026?

Becton Dickinson's operating income was $663 million in Q3 FY2026, down 10.3% from $739 million a year earlier, because higher selling and administrative, research and development and other operating expenses, the last mostly costs of separating its Biosciences and Diagnostic Solutions business and legal charges, outweighed higher gross profit. Gross margin narrowed as tariffs, higher labor costs and charges tied to the El Paso Warning Letter weighed on it. Lower interest expense, higher other income and a lower tax provision offset the lower operating income, leaving net income from continuing operations at $451 million.

How this page was built

This page was built from five of Becton, Dickinson and Company's own filings with the SEC, read one at a time. Nothing on it is taken from a pre-tagged dataset, a data vendor or another website. The figures are on the company's own fiscal calendar and in actual dollars, as the filings report them. Where the filings do not support a figure, the record says so instead of reporting a zero; this period names six such gaps.

A single company files thousands of pages with the SEC in a year, and no two companies file them the same way, so the reading and the assembly here are done by AI rather than by rules that break on the differences. Every pass is then audited back against the filings it came from before the page is published, and anything the filings do not support is left out and named rather than filled in. AI can still make mistakes. That is why the accession numbers are printed: the filing is the authority, and this page is a route to it.
