Second-quarter 2025 net revenue rose 25% year-over-year to $5.9 billion with GAAP diluted EPS of $1.08 (accession 0000316709-25-000033). Across the period, total client assets grew from $10.76 trillion (June 2025) to $13.08 trillion (June 2026), driven by strong core net new asset gathering and new brokerage account openings that exceeded 1 million per quarter for five straight quarters.
## Mergers and acquisitions
- November 6, 2025 — Charles Schwab announced it had entered into a definitive agreement to acquire Forge Global Holdings, Inc., issuing a press release and investor presentation on the transaction under a standalone Item 7.01 8-K (accession 0001193125-25-268187).
- January 21, 2026 — In its Q4/full-year 2025 earnings release, the company reiterated the pending Forge Global transaction, then expected to close in the first half of 2026 (accession 0000316709-26-000004).
- March 2, 2026 — Charles Schwab announced the closing of its acquisition of Forge Global Holdings, Inc. (accession 0001193125-26-084374). The subsequent Q1 FY26 earnings release confirmed the deal closed "in early March" (accession 0000316709-26-000016).
## Capital actions
- February 12, 2025 — TD Group US Holdings LLC, an affiliate of The Toronto-Dominion Bank, completed a secondary offering of 165,443,530 shares of Charles Schwab common stock at $79.25 per share (an aggregate $13.1 billion), and Charles Schwab separately completed a $1.5 billion private repurchase of nonvoting common stock directly from TD under the company's existing share repurchase program. Together the two transactions ended TD's entire equity stake and terminated the November 24, 2019 TD stockholder agreement; TD's common ownership fell below the 5% threshold that had entitled it to designate directors, so TD-designated directors Brian M. Levitt and Bharat B. Masrani resigned from the board (accession 0001193125-25-025166; the offering's commencement and the agreed $1.5 billion repurchase were first announced February 10, 2025 in an Item 7.01 report, accession 0001193125-25-023158, and the pricing press release followed February 11, 2025 as Exhibit 99.1 to accession 0001193125-25-025166).
- November 14, 2025 — Issued $1.0 billion of 4.343% Fixed-to-Floating Rate Senior Notes due 2031 and $1.0 billion of 4.914% Fixed-to-Floating Rate Senior Notes due 2036, for net proceeds of approximately $1.986 billion, under a new Senior Indenture with The Bank of New York Mellon Trust Company, N.A. (accession 0001193125-25-283263).
- April 22, 2026 — Issued 1,500,000 depositary shares representing interests in 6.100% Fixed-Rate Reset Non-Cumulative Perpetual Preferred Stock, Series L, for net proceeds of approximately $1.48 billion; filed a Certificate of Designations establishing the terms of the Series L Preferred Stock (accession 0001193125-26-170805).
- May 21, 2026 — Issued $1.0 billion of 4.744% Fixed-to-Floating Rate Senior Notes due 2030 and $1.25 billion of 5.493% Fixed-to-Floating Rate Senior Notes due 2037, for net proceeds of approximately $2.236 billion (accession 0001193125-26-234609).
- June 1, 2026 — Filed a Certificate of Elimination with the Delaware Secretary of State removing the Series I Preferred Stock designation from the certificate of incorporation, following the earlier redemption of that series (accession 0001193125-26-251689).
- June 25, 2026 — Issued $1.0 billion of 4.603% Fixed-to-Floating Rate Senior Notes due 2029, for net proceeds of approximately $995.5 million (accession 0001193125-26-288640).
- August 12, 2026 — Issued $1.25 billion of 5.108% Fixed-to-Floating Rate Senior Notes due 2032 and $1.35 billion of 5.655% Fixed-to-Floating Rate Senior Notes due 2037, for net proceeds of approximately $2.582 billion (accession 0001193125-26-347083).
- Redemptions and dividend actions: the company redeemed approximately $2.5 billion of Series G Preferred Stock in Q2 2025 (accession 0000316709-25-000033); raised its quarterly common stock dividend by 19% to $0.32 per share in Q1 2026 (accession 0000316709-26-000016); and redeemed $2.1 billion of Series I Preferred Stock and issued $1.5 billion of Series L Preferred Stock during Q2 2026 (accession 0000316709-26-000027). Repurchases in Q1 2025 totaled $1.5 billion (19.2 million shares), essentially all of it the private block bought from TD described above ("Repurchased 19.2 million shares of our common stock for $1.5 billion in connection with The Toronto-Dominion Bank's secondary offer," accession 0000316709-25-000019). The $351 million (3.9 million shares) repurchased in Q2 2025 (accession 0000316709-25-000033) was the trough immediately after that one-off, not the start of a buyback ramp from a standing start. Ordinary-course repurchases then rose to $2.7 billion (28.9 million shares) in Q3 2025 (accession 0000316709-25-000046), $2.7 billion (29.2 million shares) in Q4 2025 (accession 0000316709-26-000004), $2.4 billion (24.3 million shares) in Q1 2026 (accession 0000316709-26-000016), and $1.0 billion (11.2 million shares) in Q2 2026 (accession 0000316709-26-000027).
## Governance
- May 22, 2025 — At the 2025 Annual Meeting of Stockholders, all director nominees were elected, Deloitte & Touche LLP was ratified as independent auditor, and the advisory vote on executive compensation was approved. A stockholder proposal requesting declassification of the Board (to elect each director annually) was approved, 1,257,131,866 votes for against 238,836,436 opposed (accession 0001193125-25-125853, filed May 23, 2025). This non-binding vote is why the Board put a binding charter amendment to declassify up for a vote at the 2026 Annual Meeting (see below).
- January 29, 2026 — The Board appointed Dennis Howard as Managing Director, Chief Technology, Operations and Data Officer, effective immediately, as part of a broader announced set of leadership transitions (accession 0001193125-26-029376).
- May 21, 2026 — At the 2026 Annual Meeting of Stockholders, all director nominees were elected, Deloitte & Touche LLP was ratified as independent auditor, and the advisory vote on executive compensation was approved. A proposal to declassify the Board (amending the Certificate of Incorporation and Bylaws) drew 1,322,891,548 votes for against 114,865,672 against (about 92% of votes cast in favor), with 1,020,313 abstentions and 84,683,838 broker non-votes, but was not approved because the charter requires an 80% affirmative vote of all outstanding shares — a threshold under which abstentions and unvoted shares count as effective no votes (accession 0001193125-26-237020).
