## Earnings and Guidance

**Second-quarter 2026 (reported July 28, 2026; accession 0000024741-26-000253).** Corning reported GAAP net sales of $4.51 billion (up 17% year over year) and GAAP diluted EPS of $0.64 (up 19%). Core (non-GAAP) sales were $4.74 billion, up 17%, and core EPS was $0.78, up 30%. GAAP operating cash flow was $1.72 billion and adjusted free cash flow was $1.42 billion. **Segment structure change.** Effective in the first quarter of 2026, Corning revised its segment reporting structure, combining its former Display and Specialty Materials segments into a new "Glass Innovations" segment, and combining Hemlock Semiconductor Group with its solar wafer and module businesses into a new "Solar" segment. Optical Communications and Automotive were unchanged, and businesses below the reporting threshold were grouped into "Life Sciences and Emerging Growth Businesses." ## Strategic customer partnerships (AI infrastructure buildout)

On May 6, 2026, Corning and NVIDIA announced a multiyear commercial and technology partnership under which Corning will expand its U.S.-based optical connectivity manufacturing capacity 10x and its U.S. fiber production capacity by more than 50%, including construction of three new manufacturing facilities in North Carolina and Texas and the creation of more than 3,000 jobs (accession 0001206774-26-000273). ## Capital structure and financing

On July 28, 2025, Corning entered into a new $1.5 billion revolving credit agreement with JPMorgan Chase Bank, N.A. as administrative agent, replacing its prior $1.5 billion credit agreement dated June 6, 2022. The new agreement is scheduled to terminate July 28, 2030 (extendable up to two additional years) and includes a covenant limiting consolidated debt to consolidated total capital to 0.60 to 1.00. No amounts were outstanding under either the prior or new facility at signing (accession 0001206774-25-000489).

On September 11, 2026, Corning entered into an equity distribution ("at-the-market") agreement with Goldman Sachs & Co. LLC to sell up to $2.0 billion of common stock from time to time, with Goldman Sachs earning a 1.0% commission on shares sold as agent. Proceeds are intended for general corporate purposes. ## Governance

At its Annual Meeting of Shareholders on April 30, 2026, Corning shareholders elected all ten director nominees, approved (on an advisory basis) the company's executive compensation, ratified PricewaterhouseCoopers LLP as independent auditor for 2026, and rejected a shareholder proposal to require an independent board chair (accession 0001206774-26-000265).

## Acquisitions
