# BHP Group Limited - Material Events, Fiscal Year 2026 (July 2025 to June 2026) and After BHP is a foreign private issuer. It files an annual report on Form 20-F and furnishes interim and current information on Form 6-K, and it does not file 10-Qs. All amounts below are in US dollars. The one euro bond BHP priced in another currency is converted at the closing rate on the date of the announcement; the Australian dollar settlement is shown at the US dollar figure BHP itself gave. Per-share amounts (earnings per share and dividends) are per ordinary share as BHP reports them, and each NYSE ADS represents two ordinary shares. Production, price and cost figures are as BHP reported them. ## Filings that contain financial statements - **Form 6-K filed 19 August 2026, accession 0001193125-26-355840.** Furnishes the BHP Annual Report 2026 for the year ended 30 June 2026, including the consolidated income statement, statement of comprehensive income, balance sheet, cash flow statement, statement of changes in equity and notes, with the prior-year comparatives. The same filing carries the 18 August 2026 full-year results announcement, whose Appendix 1 holds the results tables (key group metrics, segment table, Underlying EBITDA waterfall). - **Form 6-K filed 17 February 2026, accession 0001193125-26-052851.** Interim financial statements for the half year ended 31 December 2025 (HY26): consolidated income statement, statement of comprehensive income, balance sheet as at 31 December 2025, cash flow statement, statement of changes in equity and notes, with half-year and year-end comparatives. This is the only interim financial statement set for fiscal 2026. Profit from operations rose 23% to $23.87 billion. Attributable profit rose 9% to $9.83 billion, or 193.6 cents per share (FY25: 177.8). Underlying EBITDA rose 27% to $32.95 billion and underlying attributable profit rose 30% to $13.20 billion. Net operating cash flow rose 17% to $21.78 billion, and net debt fell 33% to $8.69 billion (30 June 2025: $12.92 billion). Copper contributed more than half of Underlying EBITDA for the first time. BHP reported exceptional items of $3.37 billion before tax (no tax effect, so $3.37 billion after tax). They comprise a $2.3 billion impairment of its investment to date in the Jansen potash project, recognised because of higher forecast capital intensity, and $1.1 billion of Samarco dam failure impacts, of which $0.60 billion is in net finance costs. The amount included in profit from operations is $2.77 billion (Form 20-F 0001193125-26-354647). - **Dividends.** On 17 February 2026 the Board determined an interim dividend of $0.73 per share for the half year ended 31 December 2025 (6-K 0001193125-26-052851). Net debt was $14.69 billion at 31 December 2025. Copper provided 51% of Underlying EBITDA. - **Capital allocation.** The net debt target range of $10 billion to $20 billion is unchanged. Group capital and exploration expenditure guidance is about $11 billion for FY27, and the 18 August 2026 release says it is now also about $11 billion for FY28 and on average each year between FY29 and FY31 (6-K 0001193125-26-355840). ## Guidance and operational updates - **21 October 2025, September quarter review (6-K 0001193125-25-244964).** Group copper production rose 4% with record concentrator throughput at Escondida. BHP reported it was on track for full-year guidance. FY26 copper guidance at that time was 1,800 to 2,000 kt. - **20 January 2026, December half-year review (6-K 0001193125-26-015876). Guidance raised.** FY26 Group copper guidance was raised to 1,900 to 2,000 kt (from 1,800 to 2,000 kt), with Escondida and Antamina guidance also raised. BMA steelmaking coal guidance moved to the lower half of its range because of geotechnical challenges at Broadmeadow. - **22 April 2026, nine-month review (6-K 0001193125-26-168175).** FY26 copper production was expected in the upper half of guidance. Spence guidance was lowered, Antamina's raised, and Samarco was expected to reach the top end of its range. - **16 July 2026, full-year review (6-K 0001193125-26-306705).** Group copper production was 1,952.8 kt, about 2 million tonnes for a second year, and WAIO set a record for iron ore production. FY27 guidance is 1,650 to 1,800 kt of copper (a decline from FY26), and WAIO 253 to 264 Mt. ## Capital portfolio management: signed and closed transactions - **WAIO inland power network with Global Infrastructure Partners (GIP).** Signed 9 December 2025 (6-K 0001193125-25-311837): a binding agreement under which GIP would fund $2 billion for a 49% stake in a trust holding BHP's share of Western Australia Iron Ore's (WAIO) inland power network, with BHP keeping 51% and operational control and paying a tariff over 25 years. Completion was then expected towards the end of FY2026, subject to approvals including Foreign Investment Review Board approval. **Closed in August 2026 under a different structure.** The 18 August 2026 results state that BHP "completed a transaction with Global Infrastructure Partners" through a new UK transaction with the same commercial effect, that the December 2025 agreement has been terminated, and that GIP has provided $2 billion for a 49% stake in a partnership (6-K 0001193125-26-355840). - **Antamina silver stream with Wheaton Precious Metals.** Signed 17 February 2026 (6-K 0001193125-26-052837): $4.3 billion upfront for a stream on BHP's share of Antamina silver (33.75%, falling to 22.5% after 100 million ounces are delivered), with ongoing payments of 20% of the spot silver price. **Completed 2 April 2026** (6-K 0001193125-26-138837): BHP "has received total upfront consideration of US$4.3 billion". BHP said the transaction is not expected to increase reported debt. - **Carajas divestment.** BHP's 22 April 2026 review (6-K 0001193125-26-168175) reports the sale of the Carajas copper assets was finalised, with $240 million received on completion (plus cash adjustments) and up to $225 million more contingent on performance. The 16 July 2026 review (6-K 0001193125-26-306705) states the divestment was completed on 2 April 2026. - **San Manuel and Faraday Copper (signed, not reported as closed).** In July 2026 BHP signed definitive agreements under which Faraday Copper Corp acquires BHP's San Manuel asset in Arizona in exchange for a 30% fully diluted equity interest in Faraday. BHP's holding would rise to about 32.5% non-diluted at completion, which the 16 July and 18 August 2026 filings say is expected in the first quarter of FY27, subject to conditions (6-K 0001193125-26-306705). No filing reviewed reports completion. - **Anglo American plc, 24 November 2025 (6-K 0001193125-25-292243).** After preliminary discussions with Anglo American's board, BHP announced under Rule 2.8 of the UK Takeover Code that it is no longer considering a combination of the two companies. BHP said it is confident in the potential of its own organic growth strategy. - **4 September 2026 (6-K 0001193125-26-383926).** BHP responded to media speculation about a potential partnership involving part of WAIO, saying it regularly explores options to create long-term value and that WAIO remains central to its portfolio. It announced no transaction. ## Jansen potash project - **July 2025.** The 18 July 2025 review (6-K 0001193125-25-160800) set Jansen Stage 1 capital expenditure at $7.0 billion to $7.4 billion (original estimate $5.7 billion) with first production reverting to mid-2027. The 19 August 2025 annual report (6-K 0001193125-25-183071) announced a two-year extension of Stage 2, moving first production from FY2029 to FY2031. - **20 January 2026 (6-K 0001193125-26-015880).** Stage 1 investment estimate raised to $8.4 billion including contingencies, first production mid-2027, 75% complete, internal rate of return 7.9% to 9.1% at consensus prices. - **18 June 2026 (6-K 0001193125-26-275167).** Stage 2 investment estimate raised from $4.9 billion to $6.9 billion, first production late FY2031, 16% complete at the end of May 2026. BHP said it expected an impairment of about $2.3 billion on its investment to date in Jansen. The 18 August 2026 results confirm the $2.3 billion charge was recognised in FY26, and report Stage 1 as 84% complete. ## Legal and Samarco - **9 September 2025 and 5 December 2025 (6-K 0001193125-25-198739; 6-K 0001193125-25-308562).** BHP agreed to settle the Australian Samarco shareholder class action by paying A$110 million (US$74 million), inclusive of interest and costs, with no admission of liability and the majority expected to be recovered from insurers. The Federal Court of Australia approved the settlement on 5 December 2025. BHP received US$64 million of insurance proceeds (Form 20-F 0001193125-26-354647, note 4). - **14 November 2025 (6-K 0001193125-25-281695).** The English High Court found BHP liable under Brazilian law for the 2015 Fundao dam failure in the UK group action brought by over 600,000 claimants. BHP said it intends to appeal. It held the releases signed by claimants already compensated in Brazil to be valid, and damages are to be decided in later trials. The stage 2 trial was then scheduled for October 2026 to March 2027; BHP's HY26 and annual filings give April 2027 to March 2028 (6-K 0001193125-26-052851; Form 20-F 0001193125-26-354647). BHP estimated its Samarco provision at $5.5 billion at 31 October 2025, against $5.8 billion at 30 June 2025, and said expected FY26 cash outflows of about $2.2 billion and FY27 outflows of about $0.5 billion were largely unchanged. - **Provision.** The Samarco provision stood at $5.3 billion at 31 December 2025 and $5.2 billion at 30 June 2026 (6-K 0001193125-26-052851; 6-K 0001193125-26-355840). ## Debt financing - **29 August 2025 (6-K 0001193125-25-191676).** BHP priced EUR 1.4 billion ($1.64 billion at the 29 August 2025 closing rate) of guaranteed euro medium-term notes: EUR 800 million of 3.180% notes due 2031 ($935.6 million) and EUR 600 million of 3.643% notes due 2035 ($701.7 million), issued 4 September 2025. - **2 September 2025 (6-K 0001193125-25-194449; closing documents in 6-K 0001193125-25-196696, 5 September 2025).** BHP priced $1.5 billion of senior unsecured US bonds: $500 million of 5.000% notes due 2036 and $1.0 billion of 5.750% notes due 2055, for general corporate purposes, settling 5 September 2025. - The 21 October 2025 review (6-K 0001193125-25-244964) also reports that BHP refinanced its $5.5 billion revolving credit facility in the September quarter. ## Leadership and governance - **18 March 2026 (6-K 0001193125-26-112095).** The Board named Brandon Craig, then President Americas, as Chief Executive Officer and a director from 1 July 2026, succeeding Mike Henry.
